Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Genenta Science S.p.A. (GNTA) received a Nasdaq notice stating that its ADSs did not meet the $1.00 per ADS minimum bid-price requirement after closing bids were below that level for 30 consecutive business days, from September 3, 2026, through October 15, 2026. The notice does not immediately affect the ADSs’ listing or trading on the Nasdaq Capital Market.

Genenta has until April 14, 2027, under an initial 180-calendar-day compliance period. To regain compliance, the ADS closing bid must be at least $1.00 per ADS for a minimum of 10 consecutive business days, unless Nasdaq exercises its discretion to extend this period. Shareholders approved a reverse stock split ratio within a range of 1-for-10 to 1-for-20 and authorized the board, within 12 months of the July 29, 2026, meeting, to decide whether to implement it and set the ratio and effective date.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

If it has not regained compliance by April 14, 2027, Genenta may qualify for a further 180-calendar-day period only if it meets Nasdaq’s publicly held-share market-value and other initial-listing standards (except the bid-price requirement) and gives written notice of its intention to cure.

Minimum bid price $1.00 per ADS Nasdaq minimum bid-price requirement
Below-threshold period 30 consecutive business days September 3, 2026, through October 15, 2026
Initial compliance period 180 calendar days Through April 14, 2027
Compliance test At least $1.00 per ADS for a minimum of 10 consecutive business days Nasdaq minimum bid-price requirement
Approved reverse stock split ratio range 1-for-10 to 1-for-20 Shareholders authorized the board to determine whether to implement a reverse stock split within 12 months of July 29, 2026
American Depositary Shares financial
"Company’s American Depositary Shares (“ADSs”)"
American depositary shares (ADSs) are a way for investors in the United States to buy shares of foreign companies without dealing with international markets directly. They represent ownership in a foreign company's stock and are traded on U.S. stock exchanges, making it easier for American investors to buy, sell, and own parts of companies from around the world.
minimum bid price requirement regulatory
"not in compliance with the minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
Nasdaq Capital Market regulatory
"trade on the Nasdaq Capital Market"
The Nasdaq Capital Market is a platform where smaller, emerging companies can list their shares for trading by investors. It provides these companies with access to funding and visibility, helping them grow, much like a local marketplace where new vendors can introduce their products to potential customers. For investors, it offers opportunities to discover early-stage companies with growth potential.
market value of publicly held shares regulatory
"applicable market value of publicly held shares requirement"
The market value of publicly held shares is the total dollar worth of a company’s shares that are available to outside investors, calculated by multiplying the current market price by the number of shares held by the public (the “float”). It matters because it tells investors how much of the company is actually tradable and how the market is pricing that tradable portion—like a price tag on the items on a store shelf, it affects liquidity, volatility and how easy it is to buy or sell a meaningful stake.

When does GNTA need to regain Nasdaq’s minimum bid-price compliance?

GNTA has until April 14, 2027, under an initial 180-calendar-day compliance period. Its ADS closing bid must be at least $1.00 per ADS for a minimum of 10 consecutive business days, unless Nasdaq exercises its discretion to extend this period.

Can GNTA receive more time to meet Nasdaq’s bid-price requirement?

GNTA may be eligible for an additional 180-calendar-day period if it satisfies the applicable market value of publicly held shares requirement and all other Nasdaq Capital Market initial listing standards except the minimum bid-price requirement, and provides written notice of its intention to cure the deficiency, including by effecting a reverse stock split if necessary.

As previously disclosed in the Company’s Report on Form 6-K furnished to the U.S. Securities and Exchange Commission on July 31, 2026, at the Company’s Extraordinary Shareholders’ Meeting held on July 29, 2026, the Company’s shareholders approved a reverse stock split of the Company’s ordinary shares at a ratio within a range of one new ordinary share for every ten to twenty existing ordinary shares, and authorized the Board of Directors of the Company to determine, within 12 months from the date of the meeting, whether to implement the reverse stock split and, if so, the specific ratio and effective date. The Company intends to continue monitoring the closing bid price of its ADSs and evaluate available options to regain compliance in a timely manner, which may include implementing the reverse stock split, if necessary. Although the Company will use all reasonable efforts, there can be no assurance that it will regain compliance within the applicable compliance period or otherwise remain in compliance with other Nasdaq continued listing requirements.

On October 21, 2026, the Company issued a press release announcing receipt of the Nasdaq notification. A copy of the press release is furnished as Exhibit 99.1 to this Report on Form 6-K and is incorporated herein by reference.

Genenta Science Announces Receipt of Nasdaq Minimum Bid Price Deficiency Notification

MILAN, Italy — October 21, 2026 — Genenta Science S.p.A. (Nasdaq: GNTA) (the “Company”) today announced that on October 16, 2026, it received a notification letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company is not in compliance with the minimum bid price requirement of $1.00 per share under Nasdaq Listing Rule 5550(a)(2).

The notification was issued because the closing bid price of the Company’s American Depositary Shares (“ADSs”) was below $1.00 per ADS for 30 consecutive business days, from September 3, 2026 through October 15, 2026. The notification does not result in the immediate delisting of the Company’s ADSs, which will continue to trade on the Nasdaq Capital Market under the symbol “GNTA,” subject to the Company’s continued compliance with other applicable listing requirements.

Under Nasdaq Listing Rule 5810(c)(3)(A), the Company has been provided an initial period of 180 calendar days, until April 14, 2027, to regain compliance with the minimum bid price requirement. To regain compliance, the closing bid price of the Company’s ADSs must be at least $1.00 per ADS for a minimum of 10 consecutive business days during the compliance period, unless Nasdaq exercises its discretion to extend this period.

If the Company does not regain compliance by April 14, 2027, it may be eligible for an additional 180-calendar-day compliance period, provided that it satisfies the applicable market value of publicly held shares requirement and all other initial listing standards for the Nasdaq Capital Market, except the minimum bid price requirement, and provides written notice of its intention to cure the deficiency, including by effecting a reverse stock split, if necessary.

As previously disclosed, the Company’s shareholders have already approved a reverse stock split within a range of 1-for-10 to 1-for-20, which the Board of Directors is authorized to implement, if deemed appropriate.

The Company intends to monitor the closing bid price of its ADSs and evaluate available options to regain compliance with Nasdaq’s minimum bid price requirement. Although the Company will use all reasonable efforts, there can be no assurance that it will regain compliance within the initial compliance period, qualify for any additional compliance period, or otherwise remain in compliance with other Nasdaq continued listing requirements.
