- Represents the number of shares of the Issuer's common stock ("Common Stock") underlying restricted stock units ("RSUs"). Each RSU represents the contingent right to receive one share of Common Stock upon settlement. 25% of the RSUs vest and settle into Common Stock on October 30, 2025, and 25% of the RSUs vest and settle into Common Stock in equal quarterly installments thereafter on the same day of the month as the grant date (or if there is no corresponding day in the applicable month, on the last day of such month), subject to the Reporting Person's Continuous Service (as defined in the Issuer's 2022 Equity Incentive Plan) through each such date. The shares are held by a revocable trust and the Reporting Person is the sole trustee of the trust.
