Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Senior Unsecured Convertible Notes financial
"7.50% Senior Unsecured Convertible Notes, Series B due 2031"
A senior unsecured convertible note is a type of loan a company issues that pays interest and ranks ahead of common shareholders if the company fails, but has no specific assets pledged as collateral. Holders can convert the loan into the company’s stock under agreed terms, so the instrument offers regular income plus potential upside like an option to own shares; investors care because it balances bond-like safety and possible equity gains while bearing higher risk than secured debt.
aggregate principal amount financial
"$125,000,000 aggregate principal amount of 7.50%"
The aggregate principal amount is the total amount of money borrowed through a bond or loan that the borrower promises to repay. It’s like the original price tag on a loan or bond, showing how much money is involved in the deal. This number matters because it indicates the size of the debt and helps investors understand the scale of the borrowing.
beneficial ownership financial
"beneficial ownership of the Notes and ordinary shares"
Beneficial ownership means the person or entity that actually enjoys the benefits of owning shares or other assets — such as receiving dividends, voting rights, or price gains — even if the legal title is held in another name. For investors it matters because knowing who truly controls and profits from a company reveals who can influence decisions, exposes potential conflicts of interest or hidden concentration of power, and affects transparency and risk in the stock.
Indenture financial
"under the terms set forth in the Indenture"
An indenture is a legal agreement between a company that borrows money by issuing bonds and the people who buy those bonds. It explains the rules the company must follow, like paying back the money and keeping certain financial promises. This document helps both sides understand their rights and responsibilities.
registration rights regulatory
"registration rights afforded to the Purchasers"
Registration rights are contractual promises that let investors require a company to file paperwork with securities regulators so those investors can sell their shares to the public. They matter because they create a path to liquidity and an exit plan—without them, investors may be stuck holding shares for a long time. Think of them like a reserved ticket that guarantees access to a public marketplace when the holder is ready to sell.

SELLING SECURITYHOLDERS

This prospectus supplement relates to the possible resale by the Selling Securityholders of $125,000,000 aggregate principal amount of 7.50% Senior Unsecured Convertible Notes, Series B due 2031 (the “Notes”) which were issued prior to the date of the initial filing of the registration statement of which this prospectus supplement forms a part, along with up to 22,135,417 ordinary shares underlying such Notes. The Notes were initially sold pursuant to the Securities Purchase Agreement dated July 15, 2026 by and among the Company and the purchasers named therein, pursuant to which the Notes were issued under the terms set forth in the Indenture. Each Selling Securityholder acquired their Notes as either (a) a purchase under the Securities Purchase Agreement or (b) in a secondary transaction pursuant to which such Selling Securityholder acquired Notes and the registration rights afforded to the Purchasers in connection with such Notes were assigned to such Selling Securityholder.

The table below sets forth information about the beneficial ownership of the Notes and ordinary shares by each holder who has timely provided us with a completed and executed notice and questionnaire stating its intent to use this prospectus to sell or otherwise dispose of Notes or the underlying ordinary shares. In computing the number of ordinary shares beneficially owned by each selling Securityholder before the offering set forth in the table below, ordinary shares beneficially owned by a Selling Securityholder underlying securities that are convertible for ordinary shares within 60 days of the date hereof are deemed outstanding.

We have prepared this table using information furnished to us by or on behalf of the Selling Securityholders. Except as otherwise indicated below, to our knowledge, no Selling Securityholder nor any of its affiliates has held any position or office with, been employed by or otherwise has had any material relationship with us or our affiliates during the three years prior to the date of this prospectus.

Our registration of the Notes (including the underlying ordinary shares) does not mean that the Selling Securityholders identified below will sell all or any of these securities. In addition, the Selling Securityholders may have sold, transferred or disposed of all or a portion of their Notes since the date on which they provided the information regarding their holdings, including in transactions exempt from the registration requirements of the Securities Act. The identity and holdings of the Selling Securityholders may change from time to time.

(1)Assumes a Conversion Rate of 39.2425 and includes accrued interest on the Notes through the date hereof. Does not reflect any limitations on conversion described under “Description of Notes—Conversion Rights—Restricted Ownership Percentage”.

2

(2)Calculated based on 27,578,506 ordinary shares outstanding as of September 22, 2026. In calculating this amount, we treated as outstanding the number of ordinary shares issuable upon conversion or exercise of derivative securities beneficially owned by a particular holder, in each case using the conversion rate in effect as of the date hereof. However, we did not assume the conversion or exercise of derivative securities which are not beneficially owned by such holder. Does not reflect any limitations on conversion described under “Description of Notes—Conversion Rights—Restricted Ownership Percentage” (or any similar limitation on any other securities beneficially owned by the selling securityholder or its affiliates).

(3)Includes ordinary shares issuable upon conversion of the Notes. Assumes conversion of the full amount of Notes held by the selling securityholder at the rate of 125.0000 ordinary shares per $1,000 in principal amount of the Notes, including all interest accrued under the Notes if held until the June 15, 2031 maturity date, and assuming interest is paid in shares to the maximum extent permissible as described in “Description of Notes—Method of Payment of Interest” in the prospectus. This represents the theoretical maximum number of ordinary shares issuable upon conversion of the Notes, disregarding the effects of any events that result in an adjustment to the conversion rate. The conversion rate and the number of ordinary shares issuable upon conversion of the Notes may be adjusted under circumstances described under “Description of Notes—Conversion Rights” in the prospectus. Accordingly, the number of ordinary shares issuable upon conversion of the Notes may increase or decrease from time to time. Holders will receive a cash adjustment for any fractional share amount resulting from conversion of the Notes, as described under “Description of Notes—Conversion Rights” in the prospectus. Does not reflect any limitations on conversion described under “Description of Notes—Conversion Rights—Restricted Ownership Percentage” in the prospectus.

(4)Assumes that the selling securityholder has sold all the ordinary shares offered for sale under this prospectus supplement. Does not reflect any limitations on conversion with respect to the June Notes substantially similar to that which is described under “Description of Notes—Conversion Rights—Restricted Ownership Percentage” in the prospectus (or any similar limitation with respect to any other derivative securities held by the selling securityholder or its affiliates).
