The Registrant has adopted
provisions in its amended and restated memorandum and articles of association that provide that the Registrant shall indemnify its directors,
alternate directors, secretary and other officers for the time being of the Registrant and the trustees (if any) for the time being acting
in relation to any of the affairs of the Registrant, and their respective executors or administrators, out of the assets of the Registrant
for all actions, costs, charges, losses, damages, and expenses incurred in their capacities as such, except through their own dishonesty,
willful default or fraud.
Pursuant to the form of indemnification
agreement filed as Exhibit 4.6 to the Registrant’s Shell Company Report on Form 20-F filed with the Commission on July 7, 2025,
the Registrant may agree to indemnify its directors and officers against certain liabilities and expenses from their acting as a director
or officer of the Registrant.
Insofar as indemnification
for liabilities arising under the Securities Act may be permitted to directors, officers or persons controlling the Registrant pursuant
