Rhea-AI Filing Summary

HCA Healthcare, Inc.’s wholly owned subsidiary HCA Inc. completed a public offering on November 5, 2026, issuing $6.5 billion aggregate principal amount of senior notes, guaranteed by HCA Healthcare on a senior unsecured basis. The seven series are $500 million at 5.200% and $300 million floating-rate, both due 2028; $1 billion at 5.350% due 2029; $1.25 billion at 5.500% due 2031; $1.2 billion at 5.750% due 2033; $1.5 billion at 6.000% due 2036; and $750 million at 6.500% due 2056.

The notes rank equally with HCA Inc.’s senior debt, ahead of its subordinated debt, but behind secured debt to the extent of collateral and structurally behind subsidiary liabilities. The indentures limit liens on certain assets, certain sale and lease-back transactions, and mergers or dispositions of substantially all assets, subject to exceptions. HCA Inc. may redeem the fixed-rate series under the indenture terms; the floating-rate notes cannot be redeemed before maturity. If both a qualifying ratings downgrade and certain changes of control occur, holders may require repurchase at 101% of principal plus accrued and unpaid interest.

senior unsecured obligations financial
"The Notes are the Issuer’s senior unsecured obligations"
Senior unsecured obligations are loans or bonds that a company promises to pay back with its own money, but without any special guarantees or collateral. If the company runs into financial trouble, these debts are paid after other debts with priority, meaning they are less protected but still important. They matter because they show how risky it is to lend money to a company.
effectively subordinated financial
"effectively subordinated in right of payment to any of its existing and future secured indebtedness"
Debt or claims that are not legally listed as lower priority but, in practice, will be paid after other creditors because of the company’s structure or secured claims. Think of it like standing behind people who are already in line: even if your ticket says you’re next, the way the lines are organized means others get served first, so your chance of getting paid in a default is reduced accordingly.
structurally subordinated financial
"structurally subordinated in right of payment to all existing and future indebtedness"
A claim or security is structurally subordinated when it sits lower in the legal repayment order because it is issued by a subsidiary rather than the parent company, so its holders are paid only after the parent’s creditors and any creditors of the subsidiary’s parent entities are satisfied. Imagine a line for repayment: structurally subordinated investors stand further back in line, which affects the likelihood and amount they might recover if the company or group faces financial trouble. This matters to investors because it usually implies higher risk and can influence expected return, liquidity, and credit pricing.
sale and lease-back transactions financial
"engage in certain sale and lease-back transactions"
qualifying ratings downgrade financial
"both a qualifying ratings downgrade and certain changes of control"
