3 terms
Beneficial ownerregulatory
"By virtue of its position as the investment manager of Atlas Diversified Master Fund, Ltd."
A beneficial owner is the person who ultimately owns or controls a financial asset or property, even if their name isn't directly on official documents. Think of it like someone who secretly holds the keys to a safe deposit box—others may appear to have access, but the true owner is the one who benefits from what's inside. Identifying beneficial owners helps ensure transparency and prevent illegal activities like money laundering or fraud.
Dispositive powerregulatory
"Sole Dispositive Power 1,237,500.00"
Dispositive power is the authority to decide the final outcome of an asset, legal claim, contract, or corporate action — in effect the power to dispose of or resolve something. For investors it matters because whoever holds that authority can determine who gets paid, who controls an asset or vote, and how risks and returns are allocated; think of it like holding the key that lets you lock in the winner or loser in a deal.
Schedule 13Gregulatory
"This statement is being filed by (1) Balyasny Asset Management L.P."
A Schedule 13G is a formal document that investors file with the government when they acquire a large ownership stake in a company, usually for investment purposes rather than control. It helps keep the public informed about who owns significant parts of a company's shares, which can influence how the company is managed and how investors make decisions. Filing this schedule is important for transparency and understanding the ownership landscape of publicly traded companies.
Balyasny-related entities report beneficial ownership of 1,237,500 shares, equal to 6.97% of the class based on March 27, 2026. The shares are held by Atlas Diversified Master Fund, Ltd., a client managed by BAM.
Who legally holds the shares reported in the Schedule 13G?
The filing states the shares are held directly by Atlas Diversified Master Fund, Ltd. (ADMF). BAM is ADMF’s investment manager and discloses voting and dispositive power over those shares in this Schedule 13G.
Does the filing state whether proceeds or sales will go to the issuer?
The filing explains the shares are held by ADMF and managed by BAM; it does not state any proceeds treatment or that the issuer will receive proceeds. No sale instructions or uses of proceeds are disclosed in the excerpt.
What is the shares‑outstanding figure used to calculate the percentage?
The filing uses 17,747,500 Shares outstanding as of March 27, 2026 to compute the reported 6.97% beneficial ownership percentage attributed to the reporting persons.
