7.01. Regulation FD Disclosure.
On
October 20, 2025, HeartCore Enterprises, Inc. (the “Company”) issued a press release announcing that the Company and its
Board of Directors has deemed it in the best interests of the Company and its stockholders to authorize a one-time dividend on the Company’s
common stock. The record date for holders of the Company’s common stock to participate in the dividend is November 10, 2025, and
the payment date is expected to be November 17, 2025.
The
press release is furnished herewith as Exhibit 99.1 and is incorporated by reference herein. The information contained in the press release
is being furnished and shall not be deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange

October 19, 2025, the Board of Directors of the Company declared a one-time dividend on its common stock of $0.13 per share. The dividend
will be payable to stockholders of record as of November 10, 2025 and is expected to be paid on November 17, 2025.
