Filing Explained

The company borrowed $650,000; the $50 million facility ceiling is not committed funding, and the lender’s affiliation creates a disclosed potential conflict.

The August 13, 2026 8-K reports a completed August 7, 2026 borrowing of $650,000 under the existing revolving facility, so the disclosure concerns debt received rather than the facility’s separate $50 million maximum availability.

The company says the funds are intended for general corporate purposes and identifies a potential conflict of interest because the lender is an affiliate of its largest stockholder.

For scale, at March 31, 2026, the company reported $6,298,127 of cash and equivalents and quarterly operating cash outflow of $4,412,953; that cash balance equals 128.4 days of the last reported operating cash use.

revolving credit facility financial
"The Loan Agreement provides for a revolving credit facility that matures on April 21, 2031"
A revolving credit facility is a type of loan that a business can borrow from whenever it needs money, up to a set limit. It’s like having a credit card for companies—allowing them to borrow, pay back, and borrow again as needed, providing flexibility for managing cash flow or funding short-term expenses.
direct financial obligation financial
"Item 2.03 Creation of a Direct Financial Obligation or an Obligation"
off-balance sheet arrangement financial
"Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement"
An off-balance sheet arrangement is a financial commitment or asset that a company keeps out of its main financial statements so it does not show up as a direct asset or liability. Think of it like renting equipment or using a separate storage locker instead of putting the item in your home: the economic effects exist, but they aren’t listed on the company’s primary balance sheet. Investors care because these arrangements can hide risks, obligations or sources of cash flow that affect a company’s true financial strength and future performance.
forward-looking statements regulatory
"This on contains certain “forward-looking statements” within the meaning of"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
emerging growth company regulatory
"Emerging growth company"
An emerging growth company is a recently public or smaller public firm that qualifies for temporary, lighter regulatory and disclosure rules to reduce the cost and effort of being public. For investors, it means the company may provide less historical financial detail and face fewer reporting requirements than larger firms, so it can grow more quickly but also carries higher uncertainty—like buying a promising early-stage product with fewer user reviews.
