Insights

Extension preserves transaction runway; conditional completion remains.

The Omnibus Amendment moves the outside closing date and the Promissory Note maturity to June 30, 2026, keeping the same stated loan cap of $300,000 for transaction expenses. The amendment is procedural in nature but critical to allow additional time to satisfy closing conditions.

The ultimate outcome depends on shareholder approvals, regulatory clearances, and the parties meeting existing closing conditions; any change to those conditions or material adverse events could still prevent closing. Subsequent filings will show if further extensions or material revisions are needed.

Amendment date March 31, 2026 Omnibus Amendment executed
New outside date June 30, 2026 Outside date for consummating the Business Combination
Promissory Note maturity June 30, 2026 Extended from March 31, 2026

Investor presentation April 2026 Amended presentation furnished as Exhibit 99.1
Omnibus Amendment regulatory
"entered into an amendment to the Business Combination Agreement"
Promissory Note financial
"issued a promissory note to HVII for loan advances up to an aggregate principal amount of $300,000"
A promissory note is a written IOU in which one party promises to pay a specific sum, often with interest, to another party by a set date or on demand. Investors care because it functions like a loan: it creates a legal claim on future cash flows, carries credit and timing risk, and can affect valuation or liquidity—think of it as a formal, tradable promise to be repaid that can be assessed like any other debt investment.
Registration Statement on Form S-4 regulatory
"filed with the SEC the a registration statement on Form S-4"
A registration statement on Form S-4 is a formal filing with the U.S. Securities and Exchange Commission used when a company issues shares or other securities as part of a merger, acquisition, exchange offer or similar corporate deal. It bundles the transaction terms, financial statements, risk factors and shareholder vote materials so investors can assess the deal; think of it as a detailed prospectus or buyer’s packet that explains what you would own and how the deal could change your stake.
Proxy Statement regulatory
"to be distributed to holders of HVII’s ordinary shares in connection with HVII’s solicitation of proxies"
A proxy statement is a document companies send to shareholders ahead of a meeting that lays out the items up for a vote—like who will sit on the board, executive pay, and major corporate decisions—and provides background so shareholders can decide how to cast their votes or appoint someone to vote for them. Think of it as an agenda plus a ballot and briefing notes, important because the outcomes can change control, strategy, and value.
