On September 1, 2026, Hawkeye Digital, Inc. (the “Company”) entered into an offer letter with David Wachsman (the “Wachsman Offer Letter”), the President of the Company, employing Mr. Wachsman on an at-will basis. Pursuant to the Wachsman Offer Letter, Mr. Wachsman will accrue an initial annual salary of $360,000, paid monthly at $30,000, less applicable taxes, deductions, and withholdings. Mr. Wachsman is also eligible for an annual discretionary bonus based on the decision of the executive management and the board of directors of the Company. Mr. Wachsman’s salary will begin to accrue on September 1, 2026, and payment will be deferred until the funding for the Company’s business strategy is achieved.

 

Also on September 1, 2026, the Company entered into an offer letter with Quinton Byron Hamlett (the “Hamlett Offer Letter”), the Company’s Chief Financial Officer, employing Mr. Hamlett on an at-will basis as Vice President of the Company. Pursuant to the Hamlett Offer Letter, Mr. Hamlett will accrue an initial annual salary of $270,000, paid monthly at $22,500, less applicable taxes, deductions, and withholdings. Mr. Hamlett is also eligible for an annual discretionary bonus based on the decision of the executive management and the board of directors of the Company. Mr. Hamlett’s salary will begin to accrue on September 1, 2026, and payment will be deferred until the funding for the Company’s business strategy is achieved.
