This is further
to the disclosure made by ICICI Bank Limited (“ICICI Bank”) dated July 9, 2025 with regards to filing of the Draft Red Herring
Prospectus by our subsidiary, ICICI Prudential Asset Management Company (“ICICI AMC”).
Today, at 12:16
a.m., we have been informed by ICICI AMC that it has filed the Red Herring Prospectus (“RHP”) dated December 5, 2025 with
the Registrar of Companies, Delhi and Haryana for the initial public offering of up to 48,972,994 equity shares of face value of ₹
1 each by way of Offer for Sale by Prudential Corporation Holdings Limited (“Offer”). The Offer includes a reservation of
up to 2,448,649 equity shares of ICICI AMC for subscription by Eligible ICICI Bank Shareholders (as defined in the RHP) as on the date
of the filing of the RHP with the Registrar of Companies, Delhi and Haryana.
The Offer will be
open for subscription to public on Friday, December 12, 2025 and shall close on Tuesday, December 16, 2025. The anchor investor bid/
offer period will be open for subscription on Thursday, December 11, 2025.
