Item 1.01.
Entry into a Material Definitive Agreement.
 
On August 13, 2026, IDT Telecom, Inc. (“IDT Telecom”), a subsidiary of IDT Corporation (the “Company”), entered into an amendment (the “Amendment”) to its revolving credit agreement with TD Bank, N.A. (the “Bank”). The Amendment, which is dated as of August 11, 2026, amends the revolving credit facility that was scheduled to mature on August 16, 2026.  The Amendment (i) increases the amount of revolving credit that the Bank may extend to IDT Telecom to $50.0 million during the months of May and December of each calendar year, compared to $25.0 million during all other months, (ii) adds National Retail Solutions, Inc., IDT Payment Services, Inc. and IDT Payment Services of New York, LLC as additional corporate guarantors, and (iii) extends the maturity date of the revolving credit facility to July 15, 2029.
 
All other material terms of the credit agreement remain unchanged, including the existing corporate guarantees provided by IDT Corporation, IDT Domestic Telecom, Inc., IDT America Corp. and Net2Phone, Inc. The credit facility is secured by all of the assets of IDT Telecom, IDT Corporation, IDT Domestic Telecom, IDT America, Net2Phone, National Retail Solutions, Inc., IDT Payment Services, Inc. and IDT Payment Services of New York, LLC.
