Rhea-AI Filing Summary

ING Groep N.V. announced a shareholder distribution of up to €1.9 billion, comprising a share buyback for a maximum total amount of €1.65 billion and a cash payment of €0.25 billion. The buyback will commence October 29, 2026 and is expected to end no later than April 26, 2027; the cash payment will be made January 14, 2027.

The ECB approved the distribution. ING said it is intended to maintain its CET1 ratio in line with a target of ~13%; the ratio was 13.3% at the end of the third quarter of 2026, compared with a prevailing requirement of 11.10%. The distribution will be financed from dividend reserves, and its implied CET1 impact of 56 bps is already reflected in the reported 13.3% ratio. The buyback will comply with the Market Abuse Regulation and stay within the existing authority to acquire a maximum of 20% of issued shares, granted April 14, 2026. ING entered a non-discretionary arrangement with a financial intermediary to conduct the buyback.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

CET1 ratio measures a bank's core equity capital (the most loss-absorbing funds like common stock and retained earnings) relative to the size of its risk-adjusted assets. It shows how big the bank's financial cushion is compared with what it has on its books; a higher ratio means greater ability to absorb losses, lower regulatory risk, and generally more investor confidence in the bank's stability.

ING announces new distribution programme of up to €1.9 billion

ING announces new distribution programme of up to €1.9 billion

ING announced today a shareholder distribution of up to €1.9 billion. The distribution consists of a share buyback programme for a maximum total amount of €1.65 billion and a cash payment of €0.25 billion. The purpose of the distribution is to maintain our CET1 ratio in line with our target of ~13%.

ING Group’s CET1 ratio was 13.3% at the end of the third quarter of 2026, which is well above the prevailing CET1 ratio requirement of 11.10%. In line with ING’s dividend reserving approach, the additional distribution will be financed from dividend reserves. As a result, the implied CET1 impact of 56 bps is already reflected in the reported 13.3% CET1 ratio for 3Q2026. The share buyback programme will commence on 29 October 2026 and is expected to end no later than 26 April 2027. The €0.25 billion in cash will be paid on 14 January 2027.

The ECB has approved the distribution, and the share buyback programme will be executed in compliance with the Market Abuse Regulation and within the limitations of the existing authority to acquire a maximum of 20% of the issued shares as granted by the general meeting of shareholders on 14 April 2026. ING has entered a non-discretionary arrangement with a financial intermediary to conduct the buyback.

We provide weekly updates on the progress of the programme via a press release and on the share buyback programme page on our website.
