8.01 Other Events.
As
previously disclosed, The Nasdaq Stock Market LLC (“Nasdaq”) imposed a Trading Halt under Code T12 (the “Trading
Halt”) on the trading of the common stock of Inno Holdings Inc., a Texas corporation (the “Company”) on
June 8, 2026. Since June 9, 2026, the Company has received requests for information from Nasdaq on certain matters and circumstances
leading to the Trading Halt. As of the date of this current report on form 8-K, the Company has been actively responding to Nasdaq’s
requests for information.
On
June 25, 2026, the U.S. District Court for the Southern District of Texas entered a temporary restraining order against the Company,
considering a motion for temporary restraining order, a complaint and other documents filed by certain plaintiff. The Company finds the
allegations without merit and is defending itself vigorously.
