Here are the 424B prospectus supplements from InMed Pharmaceuticals Inc. (INM) in our archive over the last 12 months, newest first, and each one links through to the document itself with the summary and the scores our analysis gives it.
A 424B covers the supplement that carries the terms of a priced offering, so if you follow INM and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full INM filings page.
InMed Pharmaceuticals Inc.’s board fixed November 5, 2026, at close of business Eastern Time, as the record date for distributing InMed CVRs. Only holders of record of InMed Common Shares on that date will receive CVRs, which will be issued on the Closing Date. Because shares settle on a T+1 basis, people acquiring shares on or after the record date generally will not qualify. Shares issued after that date, including in the merger or upon surrender of In-the-Money InMed Options, will not receive CVRs. Shareholders who already voted do not need to vote again unless they wish to change their vote.
InMed Pharmaceuticals Inc. proposes to merge with Mentari Therapeutics, Inc., subject to shareholder approvals and other closing conditions. InMed would redomesticate from British Columbia to Nevada and change its name to Mentari Therapeutics, Inc. In the two-step merger, Mentari would first survive as InMed’s wholly owned subsidiary, then merge into Indigo Merger Sub II, LLC, which would survive as Mentari Therapeutics Operating Company, LLC, the parent’s wholly owned subsidiary.
Assuming InMed net cash of $(4.4) million at closing, InMed securityholders are expected to own 0.97% of the combined company, former Mentari holders excluding pre-closing financing investors 25.67%, and shares and warrants issued in the financing are expected to represent 73.36%, all on a fully diluted basis. Mentari’s pre-closing financing has an aggregate purchase price of approximately $490.0 million, including $50.0 million of previously received convertible-note proceeds and accrued interest. InMed’s board may approve a reverse split from one post-consolidation share for every two pre-consolidation shares to one for every 20, without shareholder approval. At the November 4, 2026 meeting, two-thirds of properly cast votes, assuming a quorum, are required for each of the three merger proposals; Nasdaq listing confirmation is also a closing condition.
InMed Pharmaceuticals Inc. is offering up to $1,213,648 of its common shares in an at-the-market offering through H.C. Wainwright & Co., acting as sales agent or principal.
The prospectus supplement states a 3.0% sales commission to Wainwright, reports a public float of $3,640,946 (based on non-affiliate holdings as of April 1, 2026), and shows 3,314,063 shares outstanding prior to this offering. The document also discloses a Nasdaq minimum bid-price notice and the wind down of BayMedica’s commercial operations with estimated severance and related costs.
