Rhea-AI Filing Summary

Invesco Mortgage Capital Inc. declared a cash dividend of $0.12 per share on its common stock for July 2026, payable on August 14, 2026 to stockholders of record at the close of business on July 27, 2026, which is also the ex-dividend date.

As of June 30, 2026, the company reported a total investment portfolio including TBAs of $8.2 billion, unrestricted cash and unencumbered investments of $548.3 million, and total repurchase agreement borrowings of $6.2 billion. Estimated book value per common share was $8.03, based on stockholders’ equity less $168.6 million of Series C preferred liquidation preference and 102.4 million common shares outstanding. The debt-to-equity ratio was 6.3x and the economic debt-to-equity ratio, including $1.2 billion of TBAs at implied cost basis, was 7.5x. The mortgage-backed securities portfolio represented 85.3% of investments with a period-end weighted average yield of 5.29%. Management characterizes these figures as preliminary, unaudited month-end data prepared by the company; the independent auditors have not performed procedures on them, and the company indicates they may be revised and should not be viewed as a substitute for full U.S. GAAP financial statements.

Filing Explained

The new information is the mechanics: TBA exposure is included in management’s economic leverage measure, not just GAAP repo debt.

The July 15 Form 8-K adds preliminary June 30 financing detail: its 7.5x economic leverage measure includes TBA commitments at implied cost basis, so the filing presents leverage beyond the 6.3x GAAP repo-borrowing measure.

The filing explains that TBAs are forward contracts whose financing-like exposure is included in the economic measure, while TBAs not intended for contractual settlement are recorded as derivative instruments under U.S. GAAP.

The portfolio detail separates $6,949,909 of mortgage-backed securities from $1,201,022 of TBAs at implied market value within a $8,150,931 portfolio, clarifying the exposure included in the broader leverage view.

The financing tables also disclose $6,210,403 of repurchase-agreement borrowings with a 3.76% weighted-average interest rate and 25 days of weighted-average remaining maturity, plus $4,765,000 of interest-rate-swap notional and $1,280,000 of short U.S. Treasury futures notional.

economic debt-to-equity ratio financial
"The Company presents an economic debt-to-equity ratio, a non-GAAP financial measure"
TBAs financial
"Total investment portfolio including TBAs of $8.2 billion"
To-Be-Announced (TBA) securities are mortgage-backed bonds that trade before the specific loans backing them are identified; buyers agree on price, settlement date and general loan characteristics, while the exact mortgages are assigned later. TBAs matter to investors because they provide a liquid, low-cost way to gain exposure to mortgage credit and interest-rate risk—similar to preordering a batch of fruit by type and delivery date without knowing which farms it will come from—so pricing and supply dynamics in the TBA market can influence mortgage rates and bond returns.
Agency RMBS financial
"forward contract to acquire Agency RMBS in the TBA market"
A pool of home loans packaged into a bond whose principal and interest payments are backed or guaranteed by a government-sponsored mortgage agency. Think of it as many mortgages bundled together with an insurance-like promise that reduces the chance of borrower default; investors buy them for steady income but must watch interest-rate moves and homeowners paying off or refinancing early, which can change returns.
repurchase agreements financial
"Total repurchase agreement borrowings of $6.2 billion"
A repurchase agreement is a short-term loan where one party sells a security and promises to buy it back shortly after at a slightly higher price, effectively using the security as collateral. Investors care because these deals lubricate the plumbing of money markets—keeping cash flowing, helping set short-term interest rates, and affecting borrowing costs and liquidity that can influence asset prices and market stability.
secured overnight financing rate financial
"receives floating interest rates based upon the secured overnight financing rate"
A secured overnight financing rate (SOFR) is a daily benchmark interest rate that reflects the cost of borrowing cash overnight using U.S. Treasury securities as collateral. Think of it as the market price to “rent” cash for a day with a very safe pledge, similar to paying a short-term rental fee for money backed by government bonds. Investors track SOFR because it underpins pricing for loans, bonds and derivatives, so movements change borrowing costs, interest income and the valuation of interest-rate–linked positions.

Economic Debt-to-Equity Ratio
The Company presents an economic debt-to-equity ratio, a non-GAAP financial measure of leverage that considers the impact of the off-balance sheet financing of its investments in TBAs that are accounted for as derivative instruments under U.S. GAAP. The Company includes these types of TBAs at implied cost basis in its measure of leverage because a forward contract to acquire Agency RMBS in the TBA market carries similar risks to Agency RMBS purchased in the cash market and funded with on-balance sheet liabilities. Similarly, a contract for the forward sale of Agency RMBS has substantially the same effect as selling the underlying Agency RMBS and reducing the Company's on-balance sheet funding commitments. The Company believes that presenting its economic debt-to-equity ratio, when considered together with its U.S. GAAP financial measure of debt-to-equity ratio, provides information that is useful to investors in understanding how management evaluates at-risk leverage and gives investors a comparable statistic to those of other mortgage real estate investment trusts who also invest in TBAs and present a similar non-GAAP measure of leverage.
