RA Capital Management and affiliated filers amended their Schedule 13G to report beneficial ownership tied to pre-funded warrants for Invivyd, Inc. The amendment states the Fund holds Pre-Funded Warrants exercisable for 21,342,442 shares of Common Stock and reports 7.0% of the class as of March 31, 2026.
The percentage is calculated using 282,803,863 shares outstanding as of March 20, 2026 plus the 21,342,442 shares issuable upon exercise of the Pre-Funded Warrants. The filing discloses that voting and dispositive power over the Fund's holdings has been delegated to RA Capital and contains standard disclaimers of beneficial ownership by the advisers and principals.

Insights
Large pre-funded warrant position reported, representing 7.0% on a fully diluted basis.
The filing shows the Fund directly holds Pre-Funded Warrants exercisable for 21,342,442 shares, and the percentage basis uses March 20, 2026 outstanding shares of 282,803,863. This clarifies the size of a convertible position rather than immediate common stock holdings.
Key dependencies include the exercise timing and any delegation of voting/dispositive power; the excerpt states RA Capital has sole voting and dispositive power via delegation. Subsequent filings would show conversions or exercises if they occur.
Delegation and disclaimers indicate adviser control but limited admission of beneficial ownership for other purposes.
The report explains the Fund delegated voting and investment power to RA Capital and includes standard disclaimers by RA Capital and its principals regarding beneficial ownership for purposes other than Section 13(d) obligations. This is consistent with adviser-managed fund disclosures.
Investors can track whether the Fund or adviser later exercises the Pre-Funded Warrants; the filing anchors the ownership snapshot to March 31, 2026 and cites the proxy's outstanding-share figure used in the percentage calculation.

"The Fund directly holds pre-funded warrants ("Pre-Funded Warrants") exercisable for up to 21,342,442 shares"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
Beneficially ownedregulatory
"Amount beneficially owned: Row 9 of each Reporting Person's cover page to this /A sets forth the aggregate number of securities"
Beneficially owned describes securities or assets where a person has the economic rights and control—such as the right to receive dividends and to direct voting—even if legal title is held in another name. Think of it like having the keys and using a car that’s registered to someone else: you get the benefits and make decisions. Investors care because beneficial ownership reveals who truly controls value and voting power, affecting corporate decisions and takeover dynamics.
Schedule 13G/Aregulatory
"The names of the persons filing this report (collectively, the "Reporting Persons") are: ..."
A Schedule 13G/A is an amended public filing with the U.S. securities regulator that updates a previous Schedule 13G, disclosing when an individual or group holds a substantial (typically over 5%) stake in a company and is claiming a passive, non‑controlling intent. Investors monitor these updates because rising or falling holdings can signal changing confidence, potential future moves, or shifts in voting power — like watching a public ledger where large shareholders quietly adjust their positions.
