We could not timely file our Quarterly Report
on Form 10-Q for the quarterly period ended September 30, 2025 because we did not file our Quarterly Report on Form 10-Q for the quarterly
period ended June 30, 2025 and because the financial statements could not be completed in sufficient time to solicit and obtain the necessary
review of the subject report and signatures thereto in a timely fashion prior to the due date of the report.
