Rhea-AI Filing Summary

Jasper Therapeutics, Inc. (JSPR) set a 1-for-30 reverse stock split of its voting common stock, effective at 12:01 a.m. Eastern Time on November 6, 2026. The company said outstanding shares will decline from approximately 33.3 million as of October 26, 2026 to approximately 1.11 million after the split, subject to fractional-share treatment. Authorized shares will remain at 490 million.

Fractional shares will be paid in cash based on each fraction multiplied by the November 5, 2026 closing sales price reported on the Nasdaq Capital Market. The split also applies to shares issuable under outstanding warrants and stock options, with proportionate exercise-price adjustments, and proportionately adjusts shares available under equity incentive plans. Jasper identified risks that it may not regain or maintain Nasdaq continued-listing compliance and that the split may reduce share liquidity.

Filing Explained

The November 6 reverse split leaves Jasper’s 490 million authorized shares unchanged while reducing shares outstanding, increasing the pool available for future issuance; this is added issuance capacity, not an issuance in the split.

reverse stock split technical
"to effect a 1-for-30 reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
cash in lieu of fractional shares financial
"cash in lieu of any fractional shares"
authorized but unissued shares financial
"authorized but unissued shares of Common Stock available for future issuance"
Authorized but unissued shares are the number of shares a company is legally allowed to create but has not yet issued to investors, employees, or other parties. They matter to investors because issuing those reserved shares in the future can dilute existing ownership, raise cash, or be used for employee pay and acquisitions—like having empty slots a company can fill later, which changes voting power and per-share value.
continued listing requirements regulatory
"Nasdaq Capital Market continued listing requirements"
Rules a stock exchange sets that a publicly traded company must keep meeting to stay listed and tradable on that exchange, such as minimum share price, market value, timely financial reports, and basic governance practices. Like a club’s membership rules, they matter because falling short can lead to warnings, penalties or removal from the exchange, which can cut liquidity, hurt share value and increase the risk for investors.
Split Ratio 1-for-30 reverse split
Effective Date November 6, 2026
Shares Before Split 33,300,000
Shares After Split 1,110,000
Share Count As Of October 26, 2026

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On November 2, 2026, Jasper Therapeutics, Inc. (the “Company”) filed a Certificate of Third Amendment to its Second Amended and Restated Certificate of Incorporation, as amended (the “Certificate of Amendment”), with the Secretary of State of the State of Delaware to effect a 1-for-30 reverse stock split (the “Reverse Stock Split”) of the shares of the Company’s voting common stock, par value $0.0001 per share (“Common Stock”).

As previously disclosed, at the Company’s special meeting of stockholders held on September 30, 2026, the stockholders of the Company approved the Certificate of Amendment to effect, in the sole discretion of the Board of Directors of the Company (the “Board”) at any time on or before December 31, 2026, the Reverse Stock Split at a ratio to be determined by the Board within a range of 1-for-15 to 1-for-35 (or any whole number in between), without reducing the authorized number of shares of Common Stock, as described in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on September 4, 2026. The Board set the Reverse Stock Split ratio at 1-for-30 and approved and authorized the filing of the Certificate of Amendment on October 23, 2026.

As a result of the Reverse Stock Split, every thirty (30) shares of pre-Reverse Stock Split Common Stock will be combined into one (1) share of the Company’s post-Reverse Stock Split Common Stock, without any change in par value per share. Proportionate voting rights and other rights of holders of Common Stock will not be affected by the Reverse Stock Split (other than as a result of the payment of cash in lieu of fractional shares as described below).

Following the Reverse Stock Split, the number of shares of Common Stock issued and outstanding will be reduced from approximately 33.3 million shares as of October 26, 2026 to approximately 1.1 million shares, subject to adjustment for the treatment of fractional shares. The number of authorized shares of Common Stock will remain at 490,000,000 shares and will not be reduced; accordingly, the number of authorized but unissued shares of Common Stock available for future issuance will increase relative to the number of shares outstanding.

No fractional shares of Common Stock will be issued as a result of the Reverse Stock Split. In lieu of any fractional shares to which a holder of Common Stock would otherwise be entitled as a result of the Reverse Stock Split, the Company will pay cash equal to such fraction multiplied by the closing sales price of the Common Stock as reported on the Nasdaq Capital Market on November 5, 2026, which is the trading day immediately preceding the effective date of the Reverse Stock Split.

The Reverse Stock Split will become effective at 12:01 a.m., Eastern Time, on November 6, 2026, and the Common Stock is expected to begin trading on a Reverse Stock Split-adjusted basis on the Nasdaq Capital Market at the opening of the market on November 6, 2026. The trading symbol for the Common Stock will remain “JSPR,” and the new CUSIP number of the Common Stock following the Reverse Stock Split is 471871301.

The Reverse Stock Split will affect all holders of the Common Stock uniformly and will not affect any stockholder’s percentage ownership interest in the Company, except for de minimis changes resulting from the treatment of fractional shares. Stockholders holding their shares in book-entry form or through a bank, broker or other nominee do not need to take any action in connection with the Reverse Stock Split. Their accounts will be automatically adjusted to reflect the number of shares owned. Stockholders of record will be receiving information from Continental Stock Transfer & Trust Company regarding their stock ownership following the Reverse Stock Split and cash in lieu of fractional share payments, if applicable.

In addition, the Reverse Stock Split will apply to the Common Stock issuable upon the exercise of the Company’s outstanding warrants and stock options, with proportionate adjustments to be made to the exercise prices thereof. The Company’s outstanding warrants will be adjusted in accordance with their respective terms. Furthermore, the number of shares of Common Stock available for issuance under the Company’s equity incentive plans will be proportionately adjusted for the Reverse Stock Split ratio, such that fewer shares will be subject to such plans.

Jasper Therapeutics Announces 1-for-30 Reverse Stock Split

REDWOOD CITY, Calif., November 4, 2026 (GLOBE NEWSWIRE) – Jasper Therapeutics, Inc. (Nasdaq: JSPR) (“Jasper” or the “Company”), a clinical stage biotechnology company focused on the design and development of innovative therapies to treat immune-mediated diseases, today announced a 1-for-30 reverse stock split (“Reverse Split”) of the Company’s common stock (“Common Stock”) that will become effective at 12:01 a.m. Eastern Time on Friday, November 6, 2026. The Company’s Common Stock will begin trading on a split-adjusted basis on the Nasdaq Capital Market commencing at the market open on November 6, 2026. Following the reverse stock split, the Common Stock will continue to trade on the Nasdaq Capital Market under the symbol “JSPR” with a new CUSIP number of 471871301.

As a result of the Reverse Split, every thirty (30) shares of the Company’s issued and outstanding Common Stock will be automatically combined and converted into one (1) issued and outstanding share of Common Stock without any change in the par value of $0.0001 per share. No fractional shares will be issued as a result of the Reverse Split, and stockholders who otherwise would be entitled to a fractional share will automatically be entitled to receive cash in lieu of such fractional shares equal to such fraction multiplied by the closing sales price of the Common Stock as reported on the Nasdaq Capital Market on November 5, 2026. Each stockholder’s pro-rata percentage ownership will remain unchanged as a result of the Reverse Split, except for minor changes resulting from the treatment of fractional shares. The Reverse Split will not change the authorized number of shares of Common Stock and, immediately after the Reverse Split becomes effective, there will be approximately 1.11 million shares of Common Stock issued and outstanding (compared to approximately 33.3 million shares immediately prior to the Reverse Split), subject to adjustment for fractional shares.

The Reverse Split will apply to the shares of Common Stock issuable upon the exercise of Jasper’s current outstanding warrants and stock options, with proportionate adjustments to be made to the exercise prices thereof. The Company’s outstanding warrants will be adjusted in accordance with their respective terms. Furthermore, the number of shares of Common Stock available for issuance under Jasper’s equity incentive plans will be proportionately adjusted for the reverse stock split ratio, such that fewer shares will be subject to such plans.

At Jasper’s special meeting of stockholders held on September 30, 2026, Jasper’s stockholders approved the Reverse Split and granted Jasper’s board of directors discretionary authority to select a ratio for the Reverse Split ranging from 1-for-15 to 1-for-35. Jasper’s board of directors approved the Reverse Split at a ratio of 1-for-30 on October 23, 2026.

Jasper’s transfer agent, Continental Stock Transfer & Trust Company, will provide information to stockholders regarding their stock ownership following the Reverse Split and cash in lieu of fractional share payments, if applicable. Stockholders holding their shares in book-entry form or through a bank, broker or other nominee do not need to take any action in connection with the Reverse Split. Their accounts will be automatically adjusted to reflect the number of shares owned. Beneficial holders are encouraged to contact their bank, broker or other nominee with any procedural questions.
