Refinancing plan: new $500.0 million notes due 2034 to retire 2028s.

Kaiser Aluminum plans a private offering of senior notes maturing in 2034 to refinance its 4.625% notes due 2028. This shifts maturities later, pending market execution, and uses net proceeds plus revolver and/or cash to fund the redemption.

The transaction is explicitly subject to market conditions, so pricing, investor demand, and timing will dictate feasibility. Proceeds use is narrowly defined to redeem outstanding 2028 notes, with the announcement clarifying it is not a sale offer and not a redemption notice.

If completed, cash flows would include issuance proceeds in and redemption payments out; the net balance sheet effect depends on final terms not provided here. Subsequent disclosures may provide pricing, covenants, and settlement details.
