This Statement is filed on behalf of each of the following persons: Verition Fund Management LLC and Nicholas Maounis (collectively, the "Reporting Persons"). This Statement relates to Class A ordinary shares, par value $0.0001 per share ("Class A Ordinary Shares") underlying units ("Units") held for the account of Verition Multi-Strategy Master Fund Ltd. Each Unit consists of one Class A Ordinary Share and one-half of one redeemable warrant. Each whole warrant ("Warrant") entitles the holder to purchase one Class A Ordinary Share at a price of $11.50 per share, subject to adjustment, and cannot be exercised until 30 days after the consummation of the Issuer's initial business combination.
