Luminar Technologies, Inc. has filed a Third Amended Chapter 11 Plan of Liquidation and related Disclosure Statement after the Bankruptcy Court approved the disclosure for solicitation. The plan calls for liquidating remaining assets and distributing proceeds to creditors under a global settlement with secured noteholders and the unsecured creditors’ committee.
The court’s order authorizes Luminar and its subsidiaries to solicit creditor votes on the plan, but confirmation is not assured. Luminar cautions that trading in its securities during the Chapter 11 process is highly speculative and states it expects existing equityholders to experience a complete loss upon approval and implementation of the plan.
Luminar Technologies, Inc. reports major steps in its Chapter 11 liquidation. On February 2, 2026, it closed the sale of all shares of Luminar Semiconductor, Inc. to Quantum Computing Inc. for $110 million in cash, with $11 million held in escrow for 12 months to cover certain warranty and indemnity claims. Luminar also agreed to three-year non-compete and non-solicit restrictions and exchanged non-exclusive intellectual property licenses with LSI.
The company then auctioned its remaining LiDAR assets. A prior $22 million “stalking horse” deal with Quantum was topped by MicroVision, Inc., which agreed to pay $33 million in cash, and closed that acquisition on February 3, 2026. Luminar terminated the Quantum stalking-horse agreement, paying a $660,000 break-up fee and reimbursing $500,000 of expenses.
Luminar warns that trading in its securities during the Chapter 11 process is “highly speculative” and that stockholders may face a significant or complete loss of their investment, as the company proceeds with court-supervised liquidation.
