Rhea-AI Filing Summary

On October 20, 2026, Lion Copper Corp. (LCU) completed a restructuring of US$2,700,000 in secured convertible debentures, extending maturity from November 6, 2026 to May 6, 2027. The debentures bear 12% annual interest and remain convertible at US$2.6055 per share; accrued interest is to be paid as at November 6, 2026, and interest at extended maturity may be paid in cash or shares at Lion’s election. Holders received 518,135 warrants, each exercisable for one share at US$4.17 through November 6, 2031. Cash exercise of all warrants would generate US$2,160,622.95 in aggregate gross proceeds.

Lion engaged Atrium Research for an initial term from October 15, 2026 through June 30, 2027, for C$38,000 plus applicable GST, followed by C$12,000 plus applicable GST per quarter for quarter-to-quarter extensions. Atrium is expected to deliver an initiation report within three to five weeks of initial payment, at least four additional reports, and two management video interviews. Lion also disclosed that Thomas C. Patton, Frederick Scruggs and Mark Sharman serve on all three board committees and were determined independent; the board adopted committee charters and policies including insider trading and incentive compensation recovery policies.

Filing Explained

The completed restructuring also allocated warrant consideration to insiders: Tony Alford, the board’s co-chair and a beneficial owner of more than 20% of outstanding common shares, and director Mark Sharman held debentures and each received a portion of the 518,135 warrants issued.

secured convertible debentures financial
"secured convertible debentures in the aggregate principal amount"
A secured convertible debenture is a company loan that is backed by specific assets and can be exchanged for the company’s shares under agreed terms. Think of it as a mortgage-like loan that also carries an option to switch into ownership; it matters to investors because it gives lenders higher priority for repayment and interest income while also posing potential future share dilution if the debt is converted to equity.
conversion price financial
"at a conversion price of US$2.6055 per share"
The conversion price is the fixed price at which a convertible security, like a bond or preferred stock, can be exchanged for shares of common stock. It acts like a set rate that determines how many shares an investor can receive if they choose to convert their investment. This helps investors understand the value and potential benefits of converting their securities into company shares.
statutory hold period regulatory
"subject to a statutory hold period of four months"
A statutory hold period is a legally required time window during which newly issued securities or shares received by insiders cannot be sold. It matters to investors because it affects when those shares can enter the market, influencing supply, short-term liquidity and potential price pressure—think of it like a temporary “no-sell” tag that prevents an immediate flood of items onto a store shelf after a big restock.
Rule 144 regulatory
"subject to restrictions on resale under Rule 144"
Rule 144 is a U.S. securities regulation that sets conditions under which restricted or insider-held shares can be legally resold to the public, such as required holding periods, availability of public information, limits on how much can be sold at once, and certain filing requirements. For investors it matters because it determines when previously locked-up shares can enter the market — like a release valve that can increase supply, affect share price, and signal insider intent.
quarter-to-quarter basis financial
"engagement will continue on a quarter-to-quarter basis"
