Liminatus Pharma (LIMN) seeks up to 1-for-50 reverse split to meet Nasdaq rules
Liminatus Pharma, Inc. is seeking shareholder approval to authorize its Board to implement a reverse stock split of up to 1-for-50 and to amend the company’s certificate of incorporation to reflect the split. The Board says the Reverse Stock Split is intended primarily to satisfy Nasdaq’s minimum bid price requirement and to support a continued listing.
The proposal would let the Board select the final Ratio (up to 1-for-50) without further stockholder action. Based on 50,607,633 shares outstanding as of the Record Date, a 1-for-50 split would reduce shares outstanding to approximately 1,012,153. Fractional shares would be rounded up to whole shares. The Annual Meeting also seeks votes to elect two directors and to ratify WithumSmith+Brown, PC as auditor.

Insights
Board requests authority to effect a 1-for-50 reverse split to regain Nasdaq compliance.
The Board proposes authorizing a Reverse Stock Split of up to 1-for-50, with the final Ratio to be selected by the Board to address noncompliance with Nasdaq Listing Rule 5450(a)(1) after receiving a deficiency notice. The filing notes the company has until July 14, 2026 to regain compliance under the initial cure period.
The authorization grants the Board discretion to choose the final Ratio without further shareholder votes and to file a Charter Amendment. The effectiveness of the action to restore listing depends on post-split trading price and market response; subsequent filings will report the Board’s chosen Ratio and implementation details.
Reverse split reduces float and raises per-share price in a single corporate action.
At the maximum 1-for-50 Ratio, outstanding shares would fall from 50,607,633 to ~1,012,153. Exercise and conversion terms for options, warrants and similar instruments will be adjusted proportionately as required by their terms.
The proxy highlights risks: reduced liquidity, potential odd‑lot effects for small holders, and no assurance the split will produce a sustained price increase. Cash‑flow treatment and implementation timing will be disclosed if and when the Board selects the final Ratio.
