Insights

LOKV advances its Teamshares merger process by sharing an investor call transcript and outlining upcoming SEC filings.

Live Oak Acquisition Corp. V has furnished the transcript of its November 14, 2025 investor call discussing the proposed business combination with Teamshares Inc.. This signals continued work toward closing the transaction but does not itself change the deal’s terms or structure in the excerpt provided.

The companies state they intend to file a registration statement that will include a proxy statement for Live Oak shareholders and a prospectus for securities issued in the combination. Once the registration statement is declared effective, definitive proxy/prospectus materials will be mailed to shareholders of record for a vote on the business combination.

The disclosure highlights that Live Oak, Teamshares and their directors and officers may be deemed participants in the proxy solicitation and points investors to future SEC filings, including a “Risk Factors” section in the registration statement. Overall, this is a procedural step in the SPAC merger process, and its impact will depend on the final terms and shareholder approval described in those future documents.
