EXPLANATORY NOTE
On June 30th, 2025, Logistic Properties of the Americas (“LPA”) issued a press release announcing it has been added to the Russell 3000® and Russell Microcap® Indexes, effective after US market close on June 27, 2025, as part of the annual reconstitution of the US Russell indexes. A copy of this press release is attached as Exhibit 99.1 to this Form 6-K.
