Here are the DEF 14A proxy statements from Lisata Therapeutics, Inc. (LSTA) in our archive over the last 12 months, newest first, and each one links through to the document itself with the summary and the scores our analysis gives it.
A DEF 14A covers the proxy statement, with executive pay and the shareholder votes, so if you follow LSTA and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full LSTA filings page.
Lisata Therapeutics, Inc. completed its acquisition of Marea Therapeutics on September 17, 2026, issuing former Marea stockholders 1,793,129 common shares and 211,365.213 Series C preferred shares. Each preferred share is convertible into 1,000 common shares, subject to stockholder approval and beneficial ownership limitations. Lisata separately sold 150,867.995 Series C preferred shares in a private placement for approximately $225 million at $1,491.37 per preferred share. Immediately after the financing, legacy Lisata equityholders held approximately 2.39% of the common stock on a fully diluted, as-converted basis; former Marea equityholders held 59.54%, and private-placement investors held 38.07%.
At the November 9, 2026 virtual annual meeting, stockholders will vote on conversion approval, a proposed 1-for-5 to 1-for-15 reverse split, equity and employee stock-purchase plans, directors, auditor ratification, executive compensation, and possible adjournment. If required approvals are not obtained by six months after the Series C’s initial issuance, holders would be entitled to require cash settlement at fair value. A change to Marea Therapeutics and ticker MREA is expected only if the required stockholder matters and Nasdaq Listing Application are approved.
