Filing Explained

A separate nomination deadline is October 30, 2026: the filing says qualified holders seeking to include a board nominee in the “2025 Annual Meeting” proxy materials must notify the company and file Schedule 14N with the SEC, although the same filing schedules the 2026 Annual Meeting.

Item 5.08 Shareholder Director Nominations Governance
Shareholder nominations for board of directors under proxy access rules. Rarely used -- the underlying SEC rule was vacated.
Item 7.01 Regulation FD Disclosure Disclosure
Material non-public information disclosed under Regulation Fair Disclosure, often investor presentations or guidance.
Item 9.01 Financial Statements and Exhibits Exhibits
Financial statements, pro forma financial information, or exhibit attachments filed with this report.
Issued patents 44 patents Across North America, Europe, Israel, and Asia
Pending patent applications 49 applications Across North America, Europe, Israel, and Asia
2026 annual meeting December 14, 2026 Date set by the board
Record date October 15, 2026 For the 2026 annual meeting
Rule 14a-8 proposal deadline October 27, 2026 Close of business for qualified proposals for proxy inclusion
Rule 14a-8 regulatory
"qualified stockholder proposals submitted pursuant to Rule 14a-8"
Rule 14a-8 is a U.S. Securities and Exchange Commission regulation that lets eligible shareholders put proposals on a public company’s proxy ballot for an annual meeting, provided they meet basic ownership and filing requirements. It matters to investors because it creates a formal way to raise governance or strategic issues and force a company-wide vote—like getting an item onto the agenda of a neighborhood association meeting once you’ve lived there long enough—so shareholders can push for change or influence management decisions.
Schedule 14N regulatory
"provide notice to the Company of its intent to do so on a Schedule 14N"
CE Mark regulatory
"as it pursues a CE Mark"
A CE mark is a regulatory stamp placed on products to show they meet the European Union’s basic safety, health and environmental rules and can be sold in the European Economic Area. For investors it matters because the mark unlocks market access, affects how quickly a product can generate revenue, and signals regulatory risk and potential compliance costs—think of it as a passport that lets a product enter a large market.
endovascular technical
"robotic system for peripheral endovascular procedures"
Endovascular describes medical procedures performed inside blood vessels using thin tubes, wires, and implantable devices guided by imaging—like repairing a broken pipe from the inside rather than opening the wall. It matters to investors because these less-invasive techniques can shorten hospital stays, lower complication rates and create demand for specialized devices and imaging equipment, so changes in adoption, regulation or reimbursement can materially affect healthcare company revenues and margins.
