(b) On June 11, 2026, Mr. Donald Poulton notified Medallion Financial Corp. and Medallion Bank of his intention to retire from his position as Chief Executive Officer of Medallion Bank, effective June 30, 2026. On June 11, 2026, the Board of Directors of Medallion Bank appointed Donald Poulton to serve as a member of its Board of Directors, effective July 1, 2026.

 

(c) On June 11, 2026, the Board of Directors of Medallion Bank appointed Mr. David Justin Haley to succeed Donald Poulton and serve as the Chief Executive Officer of Medallion Bank, effective July 1, 2026. Mr. Haley will continue to serve as President of Medallion Bank.
