Rhea-AI Filing Summary

MGT Capital Investments, Inc. (MGTI) entered agreements with two accredited investors for a private placement of up to $225,000 of common stock at a purchase price of $0.001 per share. The placement uses rolling closings and is scheduled to terminate on December 31, 2026, unless MGTI extends it for an additional 30 days if deemed necessary to finalize the offering. As of the date of the filing, MGTI had closed sales totaling $100,000 and issued and sold 100,000,000 shares to two investors.

MGTI stated that net proceeds are intended for general working capital. The shares were issued as restricted securities under the Section 4(a)(2) exemption and Rule 506(b) of Regulation D, without general solicitation or general advertising. No underwriter or placement agent was engaged, and no underwriting discounts or commissions were paid. The investors represented that they were accredited investors acquiring the shares for investment purposes and not with a view to distribution.

Filing Explained

Because the placement has already issued and sold 100,000,000 common shares, MGTI’s share count has increased and existing holders’ percentage ownership has fallen, absent offsetting changes.

rolling closing basis financial
"The Offering is being conducted on a rolling closing basis"
restricted securities regulatory
"The shares of Common Stock were issued as restricted securities"
Restricted securities are shares or other investment instruments that come with legal or contractual limits on when and how they can be sold, like stock given to founders or bought in a private offering. Think of them as assets in a locked box that can’t be freely traded until certain conditions — such as a waiting period, company registration, or specific approvals — are met. For investors this matters because restricted securities are less liquid and can affect timing, price, and perceived value when they eventually enter the market.
Section 4(a)(2) regulatory
"exemption from registration provided by Section 4(a)(2)"
Section 4(a)(2) is a part of U.S. securities laws that allows companies to sell their stock directly to certain investors without registering the sale with regulators. This process is often used for private placements, making it easier and faster for companies to raise money from knowledgeable or institutional investors. It matters to investors because it provides an alternative way to buy shares, often with fewer disclosures and lower costs.
Rule 506(b) regulatory
"Rule 506(b) of Regulation D"
Rule 506(b) is a U.S. securities exemption that lets companies sell shares or debt privately without full public registration, provided sales are primarily to accredited investors, up to 35 non‑accredited but financially knowledgeable buyers, and there is no public advertising or solicitation. It matters to investors because offerings under 506(b) usually include less public disclosure than registered securities—like buying from a private seller rather than a retail store—so buyers must do more of their own fact‑checking and rely on their financial sophistication.
general solicitation regulatory
"without any form of general solicitation or general advertising"
