Rhea-AI Filing Summary

Axonex AI Group Limited (AXNX) amended its earlier report to add the outstanding Class B ordinary share count before and after the reverse stock split. The stated count is 701,879 shares before the split and approximately 280,752 shares afterward, subject to rounding up of fractional shares as described in the earlier report.

Filing Explained

The amendment joins the Form F-3 disclosure, while the reverse split itself does not change company value.

This amendment incorporates the report into the company’s Form F-3 registration statement from October 27, 2026, and describes the reverse split as a future change to the outstanding shares.

A reverse split consolidates shares, proportionally raising the per-share price; the split itself does not change company value.

Reverse Stock Split technical
"before and after the Reverse Stock Split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
Class B ordinary shares technical
"outstanding Class B ordinary shares"
Class B ordinary shares are a type of ownership stake in a company that typically come with different voting rights or privileges compared to other share classes. For investors, they represent a way to hold part of the company’s value and influence its decisions, often with fewer voting rights than Class A shares. Understanding these shares helps investors assess their level of control and potential returns within a company.
fractional shares technical
"rounding up of fractional shares"
Fractional shares are portions of a whole share of a stock or fund, allowing investors to own less than one full unit. They make it possible to invest a specific dollar amount rather than buy whole shares, like buying a slice of a pizza instead of the entire pie. For investors this lowers the cost barrier, helps with diversification, and lets you reinvest dividends or purchase expensive stocks in small, precise amounts.
