MKS Inc. (MKSI) entered into a definitive agreement to sell its Ophir Optics business to TTM Technologies, Inc. in an all-cash transaction for $650 million, subject to customary closing adjustments. The purchase price represents an estimated multiple of over 18x projected FY 2026 Adjusted EBITDA for Ophir Optics. MKS describes Adjusted EBITDA as a non-GAAP measure and says it is not providing a quantitative reconciliation to GAAP net income because it cannot estimate the ultimate timing or amount of certain significant items with reasonable certainty without unreasonable efforts.
Ophir Optics provides high-precision infrared thermal imaging and laser optics solutions to customers in MKS’s Specialty Industrial market, serving defense, security and industrial applications. Closing is expected in the second quarter of 2027, subject to customary closing conditions, including certain regulatory approvals and governmental consents and permits. The transaction excludes MKS’s separately operated Ophir Instruments laser characterization business and the Ophir brand; MKS said there will be no impact on the products, services and support it provides to Ophir Instruments customers. J.P. Morgan Securities LLC is serving as MKS’s exclusive financial advisor, and Herzog Fox & Neeman as its lead legal advisor.
