Rhea-AI Filing Summary

Mineralys Therapeutics, Inc. (MLYS) terminated its license agreement with Tanabe Pharma Corporation and received assignment of the patents and know-how related to lorundrostat on October 27, 2026. Under a separate Payment Obligation Agreement, Mineralys remains responsible for commercial milestone payments of up to $255.0 million in aggregate, plus up to $10.0 million tied to commercialization for a potential second indication. The prior license described $100.0 million in certain commercial milestone payments as becoming immediately due upon a change of control.

Tanabe’s right of first negotiation for licenses of lorundrostat rights survives only for Japan, for as long as a milestone under the Payment Obligation Agreement remains unachieved and its corresponding payment unpaid. Mineralys stated it incurred no material early termination penalties.

On October 27, 2026, the Company and Tanabe entered into a Termination Agreement (the Termination Agreement), pursuant to which, among other things, (i) the License Agreement was terminated and (ii) the Transferred Intellectual Property was assigned to the Company by Tanabe.
Also on October 27, 2026, the Company and Tanabe entered into a Payment Obligation Agreement (the Payment Obligation Agreement), pursuant to which, among other things, (i) notwithstanding the termination of the License Agreement, the Company remains obligated to pay Tanabe the Milestone Obligations and (ii) the right of first negotiation granted to Tanabe by the Company with respect to any license of rights to lorundrostat survived with respect to Japan, for so long as any milestone under the Payment Obligation Agreement has not been achieved and the corresponding milestone payment has not been made.
The foregoing descriptions of the Termination Agreement and Payment Obligation Agreement are not complete and are qualified in their entirety by reference to the full text of each respective agreement, copies of which will be filed as exhibits to the Company’s Annual Report on Form 10-K to be filed with respect to the year ending December 31, 2026.
