Explanation of Responses:
1. On April 25, 2025, holders of the Issuer's Common Stock, par value $0.01 per share (the "Common Stock"), received a dividend of one Common Stock Warrant (the "Warrants") for each share of Common Stock held by such holder as of March 10, 2025. When exercisable, five (5) Warrants will entitle their holder to purchase one share of Common Stock at an exercise price of $47.50 per share, as may be adjusted in accordance with the terms of the Warrants. Each warrant holder could also elect to purchase additional shares of Common Stock at the exercise price if other warrant holders did not fully exercise their warrants and the warrant holder exercised in full their basic warrants (the "Over-Subscription Privilege"). The shares shown on this Form 4 are the additional shares purchased pursuant to the Over-Subscription Privilege, the amount of which was not determinable prior to the closing of the warrant offering.
