Each RSU represents the right to receive one share of Class A Common Stock of the Issuer upon vesting. The RSUs vest over a three-year period, with one-third of the RSUs vesting on the first anniversary of the grant date and the remaining two-thirds of the RSUs vesting in 24 substantially equal monthly installments, subject to the Reporting Person's continued employment with the Issuer (except as otherwise provided in connection with certain circumstances as set forth in the award agreement). Represents options awarded under the Omnibus Incentive Plan.
