Rhea-AI Filing Summary

MSG Rangers Corp. (MSGR) reported fiscal 2027 first-quarter revenue of $14.1 million, up $0.4 million, or 3%, from the prior-year quarter. Operating loss was $23.6 million, an increase of $10.7 million, and adjusted operating loss was $21.3 million, an increase of $10.9 million. Net loss was $16.886 million, compared with $10.805 million a year earlier.

Net cash used in operating activities was $71.188 million, versus $5.111 million in the prior-year quarter; cash and cash equivalents were $51,000 and debt was $16.5 million as of September 30, 2026. MSG Rangers' spin-off from MSG Knicks was completed October 26, 2026. The results are carve-out financial statements for the Rangers businesses previously owned and operated by MSG Knicks and do not include all actual expenses that would have been incurred had MSG Rangers been standalone. The company used 12,105 common shares outstanding as of October 26, 2026 to calculate basic loss per share for both periods, because it was not a standalone public company before the spin-off.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

carve-out financial statements technical
"accounting requirements for the preparation of carve-out financial statements"
Financial statements that present the historical financial position and results of operations for a specific business unit, division, product line, or other portion of a company as if that portion were a separate reporting entity, prepared by extracting and allocating amounts from the parent company's records rather than from a fully standalone accounting system. Carve-out statements typically use the parent’s accounting policies and allocate shared assets, liabilities, revenues and expenses to the carved-out unit; they are commonly produced for sales, spin-offs, regulatory filings or investor information and may not reflect how the unit would have reported its finances if it had operated independently.
adjusted operating loss financial
"adjusted operating loss of $21.3 million"
Adjusted operating loss is the company’s operating loss after removing one-time or unusual charges and income that management believes do not reflect ongoing business performance, such as major restructuring costs or gains from selling an asset. Investors use it like looking at a household’s monthly bills after excluding a single big repair bill — it helps show the underlying health of operations, but can be shaped by choices about what to exclude.
deferred revenue financial
"Deferred revenue, noncurrent"
Cash a company has already received for goods or services it has promised but not yet delivered; it's recorded as a liability because the company still owes that product, service, or future revenue recognition. For investors, deferred revenue signals upcoming work or deliveries that will convert into reported sales over time and affects short-term obligations, cash flow quality, and how quickly a firm can grow recognized revenue—think of it like prepaid subscriptions or gift cards a business must honor later.
right-of-use lease assets financial
"Right-of-use lease assets"
An asset a lessee records when a lease gives it the right to use an underlying item of property, plant or equipment for a specified period. It is recognized at lease commencement and initially measured as the present value of required lease payments plus certain initial direct costs and prepaid amounts, less any lease incentives; the right-of-use asset is presented alongside a corresponding lease liability and is depreciated (or amortized) over the lease term subject to impairment and any transfer/ownership provisions. The concept applies to lessees’ accounting under modern lease standards (for example IFRS 16 and ASC 842) and does not describe the lessor’s asset or ownership of the underlying property.
share-based compensation financial
"This adjustment eliminates the compensation expense related to restricted stock units and stock options"
Share-based compensation is when a company pays employees, executives or directors with its own stock or rights to buy stock instead of, or in addition to, cash. Think of it like receiving store gift cards instead of extra paycheck — it can motivate staff to boost the company’s value, but it also increases the number of shares outstanding and can shrink each existing owner’s slice of profits and voting power. Investors watch it because it affects reported earnings, share count and the alignment between management and shareholders.

Summary of Financial Results
For the fiscal 2027 first quarter, revenues of $14.1 million increased $0.4 million, or 3%, as compared to the prior year period. This primarily reflected higher revenues from league distributions of $1.2 million, mainly due to an increase in certain league distributions unrelated to national media rights fees, partially offset by other revenue decreases.
Direct operating expenses of $8.8 million increased $5.2 million as compared to the prior year period. This was primarily driven by (i) higher net provisions for certain team personnel transactions of $3.1 million and (ii) higher team personnel compensation of $1.3 million.
Selling, general and administrative expenses of $28.1 million increased $5.8 million, or 26%, as compared to the prior year period. This increase was primarily driven by (i) expenses related to the spin-off transaction in the current year period of $3.6 million and (ii) higher employee compensation and related benefits of $1.4 million.
Operating loss of $23.6 million increased $10.7 million and adjusted operating loss of $21.3 million increased $10.9 million, both as compared to the prior year period, primarily due to higher selling, general and administrative expenses and direct operating expenses.

Non-GAAP Financial Measures
We define adjusted operating income (loss), which is a non-GAAP financial measure, as operating income (loss) excluding (i) depreciation, amortization and impairments of property and equipment, goodwill and other intangible assets, (ii) share-based compensation expense or benefit, (iii) restructuring charges or credits, (iv) gains or losses on sales or dispositions of businesses, and (v) the impact of purchase accounting adjustments related to business acquisitions. Because it is based upon operating income (loss), adjusted operating income (loss) also excludes interest expense (including cash interest expense) and other non-operating income and expense items. We believe that the exclusion of share-based compensation expense or benefit allows investors to better track the performance of our business without regard to the settlement of an obligation that is not expected to be made in cash.

We believe adjusted operating income (loss) is an appropriate measure for evaluating the operating performance of our Company. Adjusted operating income (loss) and similar measures with similar titles are common performance measures used by investors and analysts to analyze our performance. Internally, we use revenues and adjusted operating income (loss) as the most important indicators of our business performance, and evaluate management’s effectiveness with specific reference to these indicators. Adjusted operating income (loss) should be viewed as a supplement to and not a substitute for operating income (loss), net income (loss), cash flows from operating activities, and other measures of performance and/or liquidity presented in accordance with U.S. generally accepted accounting principles (“GAAP”). Since adjusted operating income (loss) is not a measure of performance calculated in accordance with GAAP, this measure may not be comparable to similar measures with similar titles used by other companies. For a reconciliation of operating income (loss) to adjusted operating income (loss), please see page 5 of this earnings release.
