How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

ODNB reported net income of $1.7 million alongside adjusted operating earnings of $3.2 million, after excluding $1.3 million in merger expenses.

ODNB's merger registration statement was declared effective on October 9, 2026, and definitive joint proxy mailing began around October 14, 2026; the merger is still described as proposed.

The registration covers ODNB common shares to be issued in the merger, so it does not report completed issuance; if issued, those additional shares would reduce existing holders’ percentage ownership.

Net interest margin financial
"Net interest margin expanded to 3.10%"
Net interest margin measures how much a bank earns from lending and investing compared with what it pays for funding, expressed as a percentage of its interest-earning assets. Think of it like a grocery store’s markup: it shows the gap between buying cost and selling price per dollar of goods — here, the cost is interest paid and the sale is interest received. Investors watch it because a higher margin usually means a bank is more profitable and better at managing interest rate and credit conditions.
Provision for credit losses financial
"Provision for credit losses"
Provision for credit losses is an amount set aside by a financial institution to cover potential future losses from borrowers who may not repay their loans. It acts like a safety net, helping the institution manage risks and stay financially healthy. For investors, it signals how cautious a lender is about potential loan defaults and can impact the company's profitability and financial stability.
Allowance for credit losses financial
"allowance for credit losses totaled $13.0 million"
Allowance for credit losses is a reserve set aside by a financial institution to cover potential losses from borrowers who may not repay their loans. It acts like a safety net, helping the institution prepare for loans that might turn sour. For investors, it signals how cautious the institution is about the quality of its loans and potential risks to its financial health.
Nonaccrual loans financial
"Nonaccrual loans totaled $12.3 million"
Nonaccrual loans are loans a lender has stopped counting toward interest income because the borrower is overdue or unlikely to pay; the lender only records cash payments received and may set aside extra funds to cover potential losses. For investors, a rising number or amount of nonaccrual loans signals weaker credit quality, lower future interest revenue and larger potential write-downs — similar to pausing expected subscription income when many customers stop paying.
Adjusted operating earnings financial
"Adjusted operating earnings (non-GAAP)"
Adjusted operating earnings are a company’s profit from its regular business activities after removing one-time, unusual or non-core items (like restructuring charges, asset sales, or litigation costs) so you see the underlying performance. Investors use this figure like a trimmed-down view of earnings—similar to judging a car’s fuel efficiency without counting one-off repair bills—to compare companies and assess whether operating results are sustainable.

Forward-Looking Statements

This communication includes “forward-looking statements” within the meaning of the Private Securities Litigation Reform Act of 1995, Section 27A of the Securities Act of 1933, as amended, and Section 21E of the Securities Exchange Act of 1934, as amended. Forward-looking statements are not historical facts, but instead represent only the beliefs, expectations, or opinions of ODNB and its management team regarding future events, man of which, by their nature, are inherently uncertain and beyond the control of ODNB. Forward-looking statements may be identified by the use of such words as: “believe,” “expect,” “anticipate,” “intend,” “plan,” “estimate,” or words of similar meaning, or future or conditional terms, such as “will,” “would,” “should,” “could,” “may,” “likely,” “probably,” or “possibly.” These statements may address issues that involve significant risks, uncertainties, estimates, and assumptions made by management, including Mark Merrill’s quotations and statement about ODNB’s pending merger with NACB (the “Proposed transaction”) and expectations with regard to the benefits of the proposed transaction, statements regarding ODNB’s business, financial and operating results, including ODNB’s deposit base and funding, the impact of changes in economic conditions, management’s beliefs regarding ODNB’s liquidity, capital resources, asset quality, loan portfolio, and statements that include other projections, predictions, expectations or beliefs about future events or results or otherwise are not statements of historical fact. In addition, these forward-looking statements are subject to various risks, uncertainties, estimates, and assumptions with respect to future business strategies and decisions that are subject to change and difficult to predict with regard to timing, extent, likelihood and degree of occurrence. Although ODNB’s management team believes that estimates and assumptions on which forward-looking statements are based are reasonable within the bounds of its existing knowledge of ODNB’s business and operations, such estimates and assumptions are inherently uncertain. As a result, actual results may differ materially from the anticipated results discussed in these forward-looking statements as a result of a variety of factors, many of which are beyond the control of ODNB.

The following factors, among others, could cause actual results to differ materially from the anticipated results or other expectations expressed in the forward-looking statements: (1) the business of NACB may not be successfully integrated into ODNB or the business of the Bank may not be successfully integrated into National Capital Bank, or such integration may take longer, be more difficult, time-consuming or costly to accomplish than expected; (2) the expected growth opportunities or cost savings from the proposed transaction may not be fully realized or may take longer to realize than expected; (3) deposit attrition, operating costs, customer losses and business disruption following the proposed transaction, including adverse effects on relationships with employees and customers, may be greater than expected; (4) the possibility that the proposed transaction does not close when expected or at all because shareholder or other approvals and other conditions to closing are not received or satisfied on a timely basis or at all, or are obtained subject to conditions that are not anticipated; (5) the outcome of any legal proceedings that may be instituted against ODNB or NACB; (6) the occurrence of any event, change, or other circumstance that could give rise to the right of one or both of the parties to terminate the definitive merger agreement between ODNB and NACB; (7) reputational risk and potential adverse reactions of ODNB’s customers, employees or other business partners, including those resulting from the announcement or completion of the proposed transaction; (8) the dilution caused by ODNB’s issuance of additional shares of its capital stock in connection with the proposed transaction; (9) the diversion of management’s attention and time from ongoing business operations and opportunities on merger-related matters; (10) certain restrictions during the pendency of the proposed transaction that may impact the parties’ ability to pursue certain business opportunities or strategic transactions; (11) economic, legislative or regulatory changes, including changes in accounting standards, may adversely affect the business in which ODNB is engaged; (12) competitive pressures in the banking industry may increase significantly; (13) changes in the interest rate environment may reduce margins and/or the volumes and values of loans made or held as well as the value of other financial assets held; (14) an unforeseen outflow of cash or deposits or an inability to access the capital markets, which could jeopardize ODNB’s overall liquidity or capitalization; (15) changes in the creditworthiness of customers and the possible impairment of the collectability of loans; (16) insufficiency of ODNB’s allowance for credit losses due to market conditions, inflation, changing interest rates or other factors; (17) adverse developments in the financial industry generally, responsive measures to mitigate and manage such developments, related supervisory and regulatory actions and costs, and related impacts on customer and client behavior; (18) general economic conditions, either nationally or regionally, that may be less favorable than expected, resulting in, among other things, a deterioration in credit quality and/or a reduced demand for credit or other services; (19) unusual and infrequently occurring events, such as weather-related or natural disasters, geopolitical conflicts, acts of war or terrorism, or public health events; (20) cybersecurity threats or attacks, whether directed at ODNB or at vendors or other third parties with which ODNB interacts; (21) the implementation of new technologies, and the ability to develop and maintain reliable electronic systems; (22) changes in business conditions; (23) changes in the securities market; and (24) changes in the local economics with regard to ODNB’s market areas.

These factors are not necessarily all of the factors that could cause ODNB’s actual results, performance or achievements to differ materially from those expressed in or implied by any of the forward-looking statements. Other factors, including unknown or unpredictable factors, also could harm ODNB’s results. Additional factors that could cause results to differ materially from those described above may be found in the registration statement on Form S-4 (File No. 333-297905) that ODNB filed with the Securities and Exchange Commission (the “SEC”) on July 31, 2026, as amended on September 16, 2026 and October 6, 2026 (the “Registration Statement”), including under the heading “Risk Factors.” Tactual results anticipated may not be realized or, even if substantially realized, they may not have the expected consequences to or effects on ODNB or its business or operations. Investors are cautioned not to rely too heavily on any such forward-looking statements. ODNB urges you to consider all of these risks, uncertainties and other factors carefully in evaluating all such forward-looking statements made by ODNB. Forward-looking statements speak only as of the date they are made and ODNB undertakes no obligation to update or clarify forward-looking statements, whether as a result of new information, future events or otherwise, except to the extent required by applicable law.

Use of Non-GAAP Financial Measures

Certain information set forth in this press release refers to financial measures that are determined by methods other than in accordance with GAAP. These non-GAAP financial measures are a supplement to GAAP, which ODNB uses to prepare its financial statements, and should not be considered in isolation or as a substitute for comparable measures calculated in accordance with GAAP. In addition, ODNB’s non-GAAP financial measures may not be comparable to non-GAAP financial measures of other companies.

The Company uses the non-GAAP financial measures discussed herein in its analysis of its performance. These include adjusted non-interest expense, adjusted operating earnings, adjusted efficiency ratio, tangible book value per share and tangible book value per share excluding accumulated other comprehensive income. Management believes that these non-GAAP financial measures provide additional understanding of ODNB’s ongoing operations, enhance the comparability of ODNB’s results of operations with prior periods and show the effects of significant gains and charges in the periods presented without the impact of items or events that may obscure trends in ODNB’s underlying performance. Specifically, ODNB believes that adjusted non-interest expense, adjusted operating earnings and adjusted efficiency ratio provide important information about the continuing economic results of ODNB’s operations. ODNB believes that tangible book value per share and tangible book value per share excluding accumulated other comprehensive income provides an important metric with which to analyze and evaluate the financial condition and capital strength of ODNB.

Non-GAAP financial measures may be identified with the symbol (+) and may be labeled as adjusted. For a reconciliation of these measures to their most directly comparable GAAP measures, see page 10.

National Capital Bancorp, Inc. Reports Third Quarter Earnings and Quarterly Cash Dividend

Washington, DC, October 29, 2026 - National Capital Bancorp, Inc. (“NACB” or the “Company”) (OTCID: NACB), the holding company for The National Capital Bank of Washington (“NCB” or the “Bank”), reported net income of $215 thousand, or $0.19 per common share, for the three months ended September 30, 2026, compared to net income of $1.8 million, or $1.55 per common share, for the three months ended September 30, 2025. For the nine months ended September 30, 2026, the Company reported net income of $2.9 million, or $2.51 per common share, compared to $5.4 million, or $4.67 per common share, for the nine months ended September 30, 2025. The decrease in earnings was primarily attributable to higher provision expense in the first and third quarters of 2026 and merger-related expenses.

Total assets decreased year-over-year to $709.4 million on September 30, 2026, compared to $727.2 million on September 30, 2025. Total loans of $501.9 million on September 30, 2026, decreased by $2.0 million during the quarter and have decreased by $35.8 million over the past twelve months. Loan balances in the third quarter of 2026 reflected declines in residential real estate and construction loans, partially offset by growth in commercial real estate loans. Total deposits of $622.7 million on September 30, 2026, decreased $33.2 million during the quarter and have decreased $20.7 million over the past twelve months. The Company has been focused on balanced growth with decreases in deposits focused in higher cost funding sources. The Company has no reliance on wholesale funding sources and maintains strong levels of available secured borrowing capacity to meet the financing and cash flow needs of our client base and continues to pursue desirable new relationship opportunities.

The Company’s net interest margin of 3.52% during the third quarter of 2026 decreased from 3.62% in the second quarter of 2026 and from 3.60% in the third quarter of 2025. The decrease quarter-over-quarter is attributable to an unfavorable shift in deposit mix and higher borrowing expenses related to the Company’s subordinated debt moving to floating rate earlier in 2026.

Total shareholders’ equity increased to $68.7 million on September 30, 2026 from $65.6 million a year ago due primarily to retained earnings for the past twelve months. For the nine months ended September 30, 2026, the return on average assets and return on average equity were 0.52% and 5.54%, respectively.

The Company’s non-performing loans were 1.43% of total loans on September 30, 2026, compared to 2.55% on December 31, 2025, consisting of six nonaccrual loans with two separate borrowers. The Company’s non-performing assets ratio as of September 30, 2026 was 1.33%, compared to 1.81% on December 31, 2025. During the third quarter, the Company acquired other real estate owned through foreclosure of one of its previously reported nonaccrual loans. Four of the loans are CRA-eligible multifamily loans, which participate in the DC Housing Voucher Program, the fifth loan is a DC multifamily construction and development loan, and the sixth loan is an SBA 7a commercial loan. All six loans have been individually evaluated for specific reserves, with recent appraisals utilized for the real estate-secured loans. The Company has recorded partial charge-offs on these loans of $6.4 million, including $2.8 million in the third quarter of 2026. The allowance for credit losses to total loans was 1.02% on September 30, 2026, compared with 1.21% on September 30, 2025, while the annualized net charge-off ratio was 1.31% for the nine months ended September 30, 2026. The Bank is continuing to work multiple paths to cost-effectively resolve these problem assets.

“Our earnings reflect merger-related expenses and continued challenges in the Washington, DC, multifamily market,” said Jimmy Olevson, President and Chief Executive Officer of the Bank. “We remain focused on working through our problem assets while selectively pursuing strong, relationship-based lending opportunities and positioning the Bank for long-term value creation as we move toward completion of our previously announced merger with ODNB Financial Corporation.”

The Company also announced today that its Board of Directors has declared a cash dividend of $0.26 per share for shareholders of record as of November 13, 2026. The dividend payout of $299,581.88 on 1,152,238 shares is payable November 25, 2026.

On June 15, 2026, the Company and ODNB Financial Corporation (“ODNB”), the holding company of Old Dominion National Bank, jointly announced that they have entered into a definitive merger agreement pursuant to which NACB will merge into ODNB, with ODNB surviving as the bank holding company. The combined holding company, which will be renamed National Capital Bancorp, Inc., expects to list its common stock on Nasdaq and trade under the ticker symbol “NACB”. Old Dominion National Bank will merge with and into NCB, with NCB surviving as the wholly owned subsidiary bank.

The merger is expected to close in the fourth quarter of 2026, subject to satisfaction of customary closing conditions, including regulatory approvals and shareholder approvals from ODNB and NACB shareholders.

These factors include general economic conditions, trends in interest rates, the ability of the Company to effectively manage its growth and results of regulatory examinations, among other factors. The foregoing list of important factors is not exclusive.
