Navan, Inc.'s wholly owned subsidiary Navan Travel US SPV LLC entered into a revolving warehouse credit facility with commitments of up to $225,000,000 to finance purchases of the company's corporate charge card receivables. The receivables secure the loans, and Navan Travel must repay borrowings from their collections; its assets will not be available to satisfy Navan, Inc.'s obligations. No advances had been made as of October 5, 2026.
The facility has an initial 24-month revolving period followed by a three-month amortization period, and advances are subject to a borrowing base tied to receivables' value and eligibility. On default, borrowed amounts bear the Base Rate plus 6.50%.
Separately, an amendment to Liquid Labs SPV, LLC's existing agreements records consent from the Administrative Agent and Class A lenders for Liquid Labs to prepay all outstanding Class B advances, accrued interest and fees, including the Class B prepayment premium, and reduce the Class B committed amount in whole, without a pro rata prepayment of Class A advances or termination of the Class A commitment.
