Rhea-AI Filing Summary

Neo-Concept International Group Holdings Ltd (NCI) will ask shareholders at an extraordinary general meeting on October 29, 2026, to approve a proposed consolidation of its Class A and Class B shares. The board would set the ratio between 2:1 and 400:1 and determine the effective date, which must be no later than December 31, 2026.

A second resolution would authorize one or more additional consolidations during the two years after the meeting, each at a ratio between 2:1 and 500:1, subject to a cumulative cap of 500:1. The initial consolidation would not count toward that cap. The board recommends voting for both resolutions. Class A shares carry one vote each and Class B shares carry 30 votes each.

Filing Explained

Under the proposed consolidations, fractional shares would not be issued; where law permits, the company is authorized to round each resulting fraction up to one consolidated share, so a holder with a fractional result may receive a whole share instead.

Share Consolidation financial
"the “Share Consolidation”"
Share consolidation is a process where a company reduces the total number of its shares by combining multiple existing shares into a smaller number of higher-value shares. This can make each share more expensive and potentially improve the company’s image. For investors, it often means their ownership remains the same, but the value of each share increases, which can influence how the stock is perceived and traded.
Further Share Consolidation financial
"each, a “Further Share Consolidation”"
Consolidation Ratio Cap financial
"the “Consolidation Ratio Cap”"
quorum regulatory
"The quorum of the EGM consists of two (2) shareholders"
A quorum is the minimum number of members needed to officially hold a meeting or make decisions. It ensures that decisions are made with enough participation to represent the group’s interests, much like a majority must be present for a vote to be valid. For investors, understanding quorum is important because it affects when and how important company or organization decisions can be legally made.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

What share consolidation is NCI asking shareholders to approve?

NCI is seeking approval for an initial consolidation of its Class A and Class B shares at a ratio between 2:1 and 400:1. The board would set the exact ratio and effective date, with the effective date no later than December 31, 2026.

Does NCI want authority for additional share consolidations?

Yes. A separate resolution would authorize one or more further consolidations during the two years from the EGM date, each at a ratio between 2:1 and 500:1 and subject to a cumulative cap of 500:1. The initial consolidation would not count toward that cap.

When is NCI's extraordinary general meeting, and how many votes do its share classes carry?

The meeting is scheduled for October 29, 2026, at 3:00 p.m. Hong Kong time. Each Class A ordinary share carries one vote, and each Class B ordinary share carries 30 votes.
