This Amendment No. 1 to the
Registration Statement on Form F-3 (File No. 333-297635) of Neo-Concept International Group Holdings Limited is being filed for the sole
purpose of filing certain updated exhibit (No. 5.1). Accordingly, Part I, the prospectus, has been omitted from this filing.
