Rhea-AI Filing Summary

Netcapital Inc. regained Nasdaq minimum bid-price compliance after its common stock’s closing bid price was at least $1.00 per share for 10 consecutive business days, from September 23, 2026 through October 6, 2026. It remains out of compliance with Nasdaq’s periodic-report filing requirement because its Form 10-K for the fiscal year ended April 30, 2026 and Form 10-Q for the quarter ended July 31, 2026 are delinquent. The company intends to submit a compliance plan by October 23, 2026, but Nasdaq’s acceptance and restored compliance are not assured.

On October 8, 2026, the Audit Committee approved Adeptus Partners, LLC as independent registered public accounting firm. Adeptus will audit consolidated financial statements for fiscal years ended April 30, 2022 through April 30, 2026, including an opening balance sheet as of April 30, 2021, and review fiscal 2026 interim information. Previously issued audited statements for fiscal years ended April 30, 2022, 2023, 2024 and 2025, and related interim statements identified in the August 8-K, should no longer be relied upon; the evaluation of potential corrections is incomplete.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

minimum bid price requirement regulatory
"regained compliance with the minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
continued listing rule regulatory
"failure to satisfy a continued listing rule or standard"
restatement financial
"completion of any required restatement"
A restatement is a company’s formal correction of previously released financial reports when errors or omissions are discovered, similar to fixing a report card after finding mistakes in the scores. It matters to investors because it can change past performance figures, alter valuation or earnings trends, and signal weaknesses in accounting controls or management oversight, which may affect confidence and the stock’s perceived risk.
independent registered public accounting firm financial
"engagement of Adeptus as the Company’s independent registered public accounting firm"
An independent registered public accounting firm is an outside accounting company officially registered with the government regulator to examine and report on a public company's financial records and controls. Investors treat its reports like an impartial inspector’s certificate — they add credibility to financial statements, help spot errors or misleading claims, and reduce the risk that shareholders are relying on unchecked or biased numbers.
unaudited interim financial information financial
"review the Company’s unaudited interim financial information"
Financial statements prepared for a short reporting period (such as a quarter or half-year) that have been produced by a company but have not been independently examined and certified by auditors. They give investors a timely snapshot of revenue, expenses and cash flow—useful for spotting trends or sudden changes—but carry more uncertainty than audited reports, similar to relying on a draft version of a report rather than a certified final copy.

(the “Company”) received a letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that the closing bid price of its common stock had been below $1.00 per share for 30 consecutive business days, and that the Company therefore did not comply with the minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2).

On October 7, 2026, the Company received a letter from Nasdaq notifying the Company that, for the 10 consecutive business days from September 23, 2026 through October 6, 2026, the closing bid price of the Company’s common stock had been at $1.00 per share or greater. Accordingly, Nasdaq determined that the Company has regained compliance with Nasdaq Listing Rule 5550(a)(2), and the matter is now closed.

As previously disclosed, the Company remains out of compliance with Nasdaq Listing Rule 5250(c)(1) as a result of its failure to timely file its Annual Report on Form 10-K for the fiscal year ended April 30, 2026 and its Quarterly Report on Form 10-Q for the fiscal quarter ended July 31, 2026. The Company has until October 23, 2026 to submit to Nasdaq a plan to regain compliance with that rule. The October 7, 2026 letter does not address or affect that matter, and there can be no assurance that Nasdaq will accept the Company’s plan or that the Company will regain compliance with Rule 5250(c)(1).

On October 13, 2026, the Company issued a press release announcing that it has regained compliance with Nasdaq Listing Rule 5550(a)(2) and the engagement of Adeptus as its independent registered public accounting firm. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

Adeptus has been engaged to audit the Company’s consolidated financial statements as of and for each of the fiscal years ended April 30, 2022 through April 30, 2026, including the opening balance sheet as of April 30, 2021, and to review the Company’s unaudited interim financial information for each of the quarters in the fiscal year ended April 30, 2026.

The Company has not completed its evaluation of the corrections that may be required, and investors should continue not to rely on those previously issued financial statements.

Netcapital Inc. Regains Compliance with Nasdaq Minimum Bid Price Requirement

Engages Adeptus Partners as Independent Registered Public Accounting Firm

BOSTON, MA, October 14, 2026 — Netcapital Inc. (Nasdaq: NCPL) (the “Company”) today announced that it received a letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) on October 7, 2026, notifying the Company that it has regained compliance with the minimum bid price requirement under Nasdaq Listing Rule 5550(a)(2).

Nasdaq determined that the closing bid price of the Company’s common stock was $1.00 per share or greater for 10 consecutive business days, from September 23, 2026 through October 6, 2026. Accordingly, Nasdaq has resolved the bid price deficiency first identified in its February 4, 2026 notice and has closed the matter.

The Company also announced that the Audit Committee of its Board of Directors has engaged Adeptus Partners, LLC (“Adeptus”) as the Company’s independent registered public accounting firm. Adeptus will audit the Company’s consolidated financial statements for the fiscal years ended April 30, 2022 through April 30, 2026 and review the Company’s interim financial information for fiscal 2026, work that is required for the Company to complete any restatement of the prior-period financial statements that, as previously announced, should no longer be relied upon, and to file its delinquent periodic reports. Adeptus succeeds Fruci & Associates II, PLLC, which resigned effective August 12, 2026.

As previously announced, the Company remains out of compliance with Nasdaq Listing Rule 5250(c)(1) because it has not yet filed its Annual Report on Form 10-K for the fiscal year ended April 30, 2026 or its Quarterly Report on Form 10-Q for the fiscal quarter ended July 31, 2026. The Company intends to submit a plan to regain compliance with that rule to Nasdaq by the October 23, 2026 deadline and to file the delinquent reports as soon as practicable. There can be no assurance that Nasdaq will accept the plan or that the Company will regain compliance.
