Rhea-AI Filing Summary

NEWS CORP (NWS) reported updates on its share repurchase activity under a stock buy-back program authorized for up to US$1 billion of Nasdaq-listed Class A and Class B common stock (the “2025 Repurchase Program”). The company classifies this as an “other buy-back” under ASX rules and will not repurchase ASX-listed CDIs.

The program permits purchases from time to time in the open market or otherwise, subject to market conditions, stock price and other factors, with Goldman Sachs & Co. LLC acting as broker for on-market buy-backs. No security holder approval is required, there are no foreign participation restrictions and no additional conditions before the buy-back becomes unconditional.

For one class with 360,464,857 securities on issue, News Corp reports cumulative buy-backs of 11,079,919 securities for US$284,800,083.70, plus a further 54,641 securities on the previous day for US$1,649,289.41, at prices between US$22.20 and US$30.79. For another class with 142,533,914 securities on issue, it reports cumulative repurchases of 5,191,492 securities for US$151,484,184.23, plus 23,784 securities on the previous day for US$817,384.73, at prices between US$25.49 and US$35.29. The company also includes forward-looking statements regarding potential future repurchases.

on-market buy-back financial
"The type of buy-back is ... Employee share scheme buy-back On-market buy-back"
other buy-back financial
"The type of buy-back is ... Selective buy-back Other buy-back"
Repurchase Program financial
"Repurchase program for up to an aggregate of US$1 billion of the Company’s Nasdaq-listed"
A repurchase program is when a company buys back its own shares from the open market. This reduces the total number of shares available, which can increase the value of each remaining share and signal confidence in the company's future. For investors, it often suggests that the company believes its stock is undervalued and can be a sign of financial strength.
CDIs financial
"No ASX-listed CDIs will be repurchased in these programs."
CDIs (CHESS Depositary Interests) are local certificates that represent ownership of foreign shares so investors can buy, sell and hold those stocks on a domestic exchange without moving the underlying shares across borders. Think of a CDI as a local receipt for a foreign share: it gives most economic rights and easier trading in local currency and settlement systems, which matters to investors for access, liquidity, and the practical handling of dividends and corporate actions.
forward-looking statements regulatory
"Such information contains "forward-looking statements" within the meaning of the Private Securities"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
