Item 1.01. Entry into a Material Definitive Agreement.

On September 18, 2025, Odyssey Health, Inc., entered into Amendment No. 10 with LGH Investments, LLC, effective as of July 31, 2025. Pursuant to Amendment No. 10, the parties have agreed to extend the maturity date of the note to January 31, 2026. All other terms and conditions remain the same.
