Item 8.01. Other Events.
Redemption of 4.75% Notes due 2026
On January 8, 2026, OFS Capital Corporation, a Delaware corporation (the “Company”), caused notices to be issued to the holders of its 4.75% Notes due 2026 (CUSIP No. 67103B AA8) (the “Notes”) regarding the Company’s exercise of its option to redeem the issued and outstanding Notes, pursuant to Section 1101 of the Indenture dated as of April 16, 2018, between the Company and U.S. Bank Trust Company, National Association (formerly known as U.S. Bank National Association), as trustee, and Section 1.01(h) of the Fifth Supplemental Indenture dated as of February 10, 2021. On February 9, 2026 (the “Redemption Date”), the Company will redeem $16,000,000 in aggregate principal amount, which is equal to the remainder of the outstanding Notes. The Notes will be redeemed at a redemption price equal to 100% of the principal amount of the Notes to be redeemed, plus accrued and unpaid interest, if any, to, but excluding, the Redemption Date. A copy of the notice of redemption is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
