Rhea-AI Filing Summary

Odyssey Marine Exploration, Inc. (OMEX) will effect a 1-for-25 reverse stock split on October 28, 2026; split-adjusted trading is scheduled to begin October 29. The split applies to holders of record at the close of business October 26 and is expected to reduce outstanding common shares from approximately 58.6 million to approximately 2.3 million. Authorized common shares will increase from 75 million to 82 million, effective October 28.

The SEC declared effective Odyssey’s Form S-4 for its proposed merger with American Ocean Minerals Corporation on October 15. Odyssey expects a special stockholder meeting on December 2 to vote on merger-related proposals, including the issuance of Odyssey shares. Completion remains subject to stockholder approval and satisfaction or waiver of other applicable closing conditions. The board also approved a 2026 Equity Incentive Plan, subject to stockholder approval.

Stockholders of record entitled to fractional shares will receive cash based on the fractional amount and the common stock’s closing price on the split’s effective date. The split also applies to common shares issuable under outstanding warrants and stock options, with proportionate exercise-price adjustments.

Filing Explained

Completion of the reverse split is a condition to certain investors’ obligation to finance the combined company after the merger; the filing does not say that financing is already available.

reverse stock split financial
"1-for-25 reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
proxy statement/prospectus regulatory
"definitive proxy statement/prospectus"
A proxy statement or prospectus is a document that companies send to shareholders to provide important information about upcoming decisions or investments, such as voting on company issues or offering new shares to the public. It helps investors understand the details and risks involved, enabling them to make informed choices about their ownership or involvement with the company.
fractional shares financial
"No fractional shares will be issued"
Fractional shares are portions of a whole share of a stock or fund, allowing investors to own less than one full unit. They make it possible to invest a specific dollar amount rather than buy whole shares, like buying a slice of a pizza instead of the entire pie. For investors this lowers the cost barrier, helps with diversification, and lets you reinvest dividends or purchase expensive stocks in small, precise amounts.
exchange agent financial
"acting as the exchange agent and transfer agent"
An exchange agent is a third party appointed to handle the practical steps when securities are being swapped, such as during mergers, tender offers, or restructurings. Think of it as a trusted post office that collects old shares, verifies ownership, completes required paperwork and regulatory filings, and delivers the new shares or cash to investors; its efficiency and accuracy affect how quickly and safely investors receive the value they're owed.
Split Ratio 1-for-25 reverse split
Effective Date October 28, 2026
Shares Before Split 58,600,000
Shares After Split 2,300,000

Odyssey Marine Exploration Announces Corporate Update on

Proposed Merger with American Ocean Minerals Corporation

SEC Declares Merger Registration Statement Effective;

Company Announces 1-for-25 Reverse Stock Split

TAMPA, Fla., October 16, 2026 (BUSINESSWIRE) – Odyssey Marine Exploration, Inc. (NASDAQ: OMEX) (“Odyssey” or the “Company”), an ocean exploration and marine mineral development company, today announced that the U.S. Securities and Exchange Commission (the “SEC”) declared effective on October 15, 2026, its registration statement on Form S-4 relating to the proposed merger with American Ocean Minerals Corporation (“AOMC”). The Company plans to hold a special meeting of stockholders on December 2, 2026, to vote on proposals related to the merger.

The Company also announced that it will effect a 1-for-25 reverse stock split of its common stock on October 28, 2026.

Following the reverse stock split, Odyssey’s common stock will continue to trade on The Nasdaq Capital Market under the symbol “OMEX” and under a new CUSIP number 676118300. Odyssey’s common stock will begin trading on a reverse stock split-adjusted basis when the market opens on October 29, 2026.

The reverse stock split is intended to increase the trading price of Odyssey’s common stock and reduce stockholder transaction costs. The previously announced merger agreement (the “Merger Agreement”) between Odyssey and AOMC requires Odyssey to use reasonable best efforts to effect the reverse stock split. Completion of the reverse stock split is a condition to the obligation of certain investors to provide financing to AOMC and Odyssey to fund the operations of the combined company following merger completion.

Merger Update

The SEC’s declaration of effectiveness of the Form S-4 registration statement marks an important milestone toward completion of the proposed merger, which is intended to create a scaled, U.S.-based deep-sea critical minerals platform. Odyssey filed a definitive proxy statement/prospectus with the SEC on October 15, 2026, and will distribute it to eligible stockholders ahead of a special meeting scheduled for December 2, 2026, at 10:00 a.m. Eastern Time.

At the meeting, stockholders will be asked to vote on proposals related to the merger, including the issuance of shares of Odyssey common stock in connection with the merger and related transactions, as required by applicable Nasdaq Listing Rules. Odyssey’s Board of Directors unanimously recommends that stockholders vote in favor of all proposals presented at the special meeting, following the unanimous recommendation of Odyssey’s Special Transaction Committee with respect to relevant proposals. The reverse stock split was previously approved by Odyssey stockholders and is not subject to approval at the special meeting.

Odyssey and AOMC continue to work toward completion of the transaction, subject to stockholder approval and the satisfaction or waiver of other applicable closing conditions. Following completion of the merger, Odyssey is expected to be renamed “American Ocean Minerals Corporation,” and the common stock of the combined company is expected to trade on Nasdaq under the symbol “AOMC.” The combination is expected to bring together complementary technical capabilities and leadership, strengthening the combined platform’s position in the emerging offshore critical minerals sector.

Reverse Split Mechanics

The reverse stock split was approved by Odyssey’s stockholders at Odyssey’s annual meeting of stockholders held on June 1, 2026, with the Board authorized to effect the reverse stock split, in its discretion, at a ratio ranging from 1-for-20 to 1-for-25. The final reverse stock split ratio of 1-for-25 was approved by the Board on June 15, 2026. Separately, Odyssey’s stockholders approved an increase in the number of authorized shares of common stock from 75 million to 82 million, which also will become effective on October 28, 2026.

As a result of the reverse stock split, every twenty-five pre-split shares of Odyssey’s common stock outstanding as of the close of business on a record date of October 26, 2026, will be combined into one share of common stock. The reverse stock split is expected to reduce Odyssey’s outstanding common stock from approximately 58.6 million shares to approximately 2.3 million shares. The par value of Odyssey’s common stock will remain unchanged at $0.0001 per share.

The reverse stock split will affect all stockholders uniformly and will not change their percentage ownership in Odyssey, except for adjustments resulting from fractional shares. No fractional shares will be issued; instead, stockholders of record otherwise entitled to a fractional share will receive a cash payment, without interest or deduction, based upon the fractional amount multiplied by the closing price of Odyssey’s common stock on The Nasdaq Capital Market on the effective date of the reverse stock split.

The reverse stock split will also apply to common stock issuable upon the exercise of Odyssey’s outstanding warrants and stock options, with a proportionate adjustment to the exercise prices thereof, and under Odyssey’s equity incentive plans.

Computershare Trust Company, N.A., is acting as the exchange agent and transfer agent for the reverse stock split. Stockholders holding their shares in book-entry form or in brokerage accounts need not take any action in connection with the reverse stock split. Beneficial holders are encouraged to contact their bank, broker, or custodian with any procedural questions.
