On August 3, 2026, the Board of Directors (the “Board”) of Ondas Inc. (the “Company”) adopted the Ondas Inc. 2026 Inducement Plan (the “Inducement Plan”) and reserved 20,000,000 shares of the Company’s common stock for equity awards. The Inducement Plan provides for the grant of equity awards, including non-qualified stock options, restricted stock units, restricted stock, stock appreciation rights, performance units, performance shares and other stock or cash-based awards. The Inducement Plan was adopted without stockholder approval pursuant to Rule 5635(c)(4) of the Nasdaq Listing Rules.
