Rhea-AI Filing Summary

CapForce Inc. filed a Form 12b-25 notifying the SEC that it cannot timely file its Quarterly Report on Form 10-Q for the quarter ended March 31, 2026 without unreasonable effort or expense. The delay stems from valuation and purchase price allocation work related to the company’s previously disclosed acquisition of iCapX Sdn. Bhd. and limited internal accounting resources. The company is completing its financial close and expects its Annual Report on Form 10-K for the year ended December 31, 2025 remains in process; the filing states the company anticipates significant changes in results for the quarter versus the prior-year period.

Insights

Delay driven by acquisition accounting and constrained staff.

The filing states that complex valuation and purchase price allocation for the iCapX Sdn. Bhd. acquisition required significant time and resources, delaying the Form 10-K close processes that feed the Form 10-Q.

Timing for the corrected filings is tied to completion of the annual close; subsequent filings will reveal exact quantitative impacts once the company completes its financial close.

Governance signal: limited finance headcount affected timeliness.

The notification highlights limited internal accounting and finance personnel available to complete reviews and support the independent registered accounting firm’s procedures, a factual constraint disclosed by management.

Future filings should show whether remediation steps or temporary resources are used; the company disclosed an expectation of significant period-over-period changes but provided no quantitative estimate.

Form 12b-25 regulatory
"filing a Notification of Late Filing on Form 12b-25 with respect to its Quarterly Report"
Form 12b-25 is a notice a publicly traded company files with the U.S. Securities and Exchange Commission when it cannot deliver a required periodic report (like a quarterly or annual financial report) on time. It explains the reason for the delay and gives the company a short, temporary window to finish the report without being marked as delinquent; investors watch it because late filings can signal accounting, operational, or control issues that may affect a company’s reliability and stock risk, much like a missed homework deadline can raise concerns about a student’s preparedness.
purchase price allocation financial
"valuation and purchase price allocation related to the Company’s previously disclosed acquisition"
Purchase price allocation is the accounting process that breaks down the total amount paid for an acquired business into specific pieces—like tangible assets, identifiable intangible assets (brands, patents, customer lists) and goodwill—based on their estimated fair values. Investors care because this breakdown affects future earnings, tax costs and reported asset values: higher allocations to amortizable intangibles or goodwill can change profit volatility, depreciation and potential impairment charges, similar to splitting a restaurant bill to see what you actually bought versus what you paid extra for goodwill.
valuation financial
"significant time and resources necessary to conduct valuation and purchase price allocation"
Valuation is an estimate of what a company or asset is worth right now, based on its current finances and expected future profits, similar to an appraisal for a house. For investors it matters because it shows whether a stock’s market price seems reasonable, too high, or potentially undervalued, guiding buy, hold or sell decisions and helping compare risk and return across investment options.
Form 10-Q regulatory
"Quarterly Report on Form 10-Q for the quarter ended March 31, 2026"
A Form 10-Q is a detailed report that publicly traded companies are required to file with regulators three times a year, providing an update on their financial health and business activities. It is important for investors because it offers timely insights into a company's performance, helping them make informed decisions about buying or selling stocks. Think of it as a regular check-up report that shows how well a company is doing.

CapForce Inc. (the “Company”) is filing this Notification of Late Filing on Form 12b-25 with respect to its Quarterly Report on Form 10-Q for the quarter ended March 31, 2026 (the “Form 10-Q”). The Company has determined that it is unable to file its Form 10-Q within the prescribed time period without unreasonable effort or expense. The Company is in the process of preparing its Annual Report on Form 10-K for the year ended December 31, 2025, which was delayed due to the significant time and resources necessary to conduct valuation and purchase price allocation related to the Company’s previously disclosed acquisition of iCapX Sdn. Bhd. In addition, as a result of the Company’s size, the Company has limited internal accounting and finance personnel to assist with review and preparation of its financial statements to ensure adequate disclosure of the financial information required to be included in the Form 10-Q and for the Company’s independent registered accounting firm to complete its review procedures. Accordingly, the Company is unable, without unreasonable effort or expense, to timely file the Form 10-Q by the prescribed date.
