Rhea-AI Filing Summary

Banzai International, Inc. (PARA) received a Nasdaq Staff Delisting Determination after its closing bid price stayed below the $1.00-per-share minimum for 30 consecutive business days, from September 15 through October 26, 2026. Nasdaq said the company was ineligible for the usual 180-calendar-day compliance period because its reverse splits over the prior two years had a cumulative ratio of 1-for-2,000; the latest was a 1-for-10 reverse split on October 27, 2026.

Unless Nasdaq receives a hearing request and confirmation of the $20,000 fee by 4:00 p.m. Eastern Time on November 3, 2026, trading is scheduled to be suspended at the opening of business on November 5. The company intends to request a hearing; a timely request would stay the suspension and Form 25-NSE filing pending the panel’s decision. Separately, stockholders approved an increase in authorized shares to 850,000,000, effective October 30, 2026, comprising 750,000,000 Class A, 25,000,000 Class B, and 75,000,000 preferred shares.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Bid Price Rule regulatory
"the Bid Price Rule"
Staff Delisting Determination regulatory
"issued a Staff Delisting Determination"
A staff delisting determination is a formal finding by exchange or regulatory staff that a listed security no longer meets the rules required to stay listed, similar to an official notice that a rental property no longer qualifies for occupancy. It matters to investors because it often precedes removal from the exchange, which can sharply reduce a stock’s visibility, trading liquidity and value, and may trigger urgent choices like selling, appealing the decision or seeking alternative markets.
compliance period regulatory
"180-calendar-day compliance period"
A compliance period is a defined stretch of time during which a company must meet specific legal, regulatory, or contractual rules and reporting requirements. Think of it like a scheduled inspection window or a homework deadline: failing to satisfy the rules within that window can trigger fines, restrictions, or extra oversight, so investors watch compliance periods as signals of near-term legal risk, potential costs, and impacts on a company’s operations or cash flow.
quorum regulatory
"constituted a quorum for the transaction of business"
A quorum is the minimum number of members needed to officially hold a meeting or make decisions. It ensures that decisions are made with enough participation to represent the group’s interests, much like a majority must be present for a vote to be valid. For investors, understanding quorum is important because it affects when and how important company or organization decisions can be legally made.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

Why is PARA facing delisting from Nasdaq?

Nasdaq issued a Staff Delisting Determination after PARA’s closing bid price was below $1.00 per share for 30 consecutive business days, from September 15 through October 26, 2026. Nasdaq said the company could not use the usual 180-calendar-day compliance period because of its reverse-split history.

When could PARA trading be suspended?

Nasdaq must receive a hearing request and confirmation of the $20,000 hearing fee by 4:00 p.m. Eastern Time on November 3, 2026. Without that request, suspension is scheduled for the opening of business on November 5, 2026. A timely request would stay the suspension and Form 25-NSE filing pending the panel’s decision.

How many shares did PARA stockholders authorize?

The approved increase authorizes 850,000,000 shares: 750,000,000 Class A common shares, 25,000,000 Class B common shares, and 75,000,000 preferred shares. The amendment became effective at 12:01 a.m. Eastern Time on October 30, 2026.

Item 3.01
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On October 27, 2026, Parabolic Technologies, Inc. (the “Company”) received a letter (the “Notice”) from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that the closing bid price of the Company’s listed securities had been below $1.00 per share for 30 consecutive business days, from September 15, 2026 through October 26, 2026, and that the Company therefore was not in compliance with Nasdaq Listing Rule 5550(a)(2) (the “Bid Price Rule”), which requires a minimum bid price of $1.00 per share for continued listing on The Nasdaq Capital Market.

Under Nasdaq Listing Rule 5810(c)(3)(A), a company that fails to meet the Bid Price Rule is normally afforded a 180-calendar-day compliance period in which to regain compliance. However, the Notice states that, pursuant to Nasdaq Listing Rule 5810(c)(3)(A)(iv), the Company is not eligible for any such compliance period because it has effected a reverse stock split over the prior one-year period or one or more reverse stock splits over the prior two-year period with a cumulative ratio of 250 shares or more to one. The Company effected a 1-for-10 reverse stock split on July 8, 2025, a 1-for-20 reverse stock split on May 8, 2026, and a 1-for-10 reverse stock split on October 27, 2026, resulting in a cumulative reverse stock split ratio of 1-for-2,000.

Nasdaq Listing Rule 5810(c)(3)(A)(iv) provides that “if a Company’s security fails to meet the continued listing requirement for minimum bid price and the Company has effected a reverse stock split over the prior one-year period; or has effected one or more reverse stock splits over the prior two-year period with a cumulative ratio of 250 shares or more to one, then the Company shall not be eligible for any compliance period specified in this Rule 5810(c)(3)(A) and the Listing Qualifications Department shall issue a Staff Delisting Determination under Rule 5810 with respect to that security.”

Accordingly, the Staff issued a Staff Delisting Determination in the Notice, notifying the Company that its securities are subject to delisting from Nasdaq. Unless the Company requests an appeal of the Staff Delisting Determination to a Nasdaq Hearings Panel (the “Panel”), with the hearing request and confirmation of payment of the $20,000 hearing fee received by Nasdaq’s Hearings Department no later than 4:00 p.m. Eastern Time on November 3, 2026, trading of the Company’s securities will be suspended at the opening of business on November 5, 2026, and a Form 25-NSE will be filed with the Securities and Exchange Commission (the “SEC”), which will remove the Company’s securities from listing and registration on Nasdaq.

The Company intends to timely request a hearing before the Panel pursuant to the procedures set forth in the Nasdaq Listing Rule 5800 Series. A timely hearing request will stay the suspension of the Company’s securities and the filing of Form 25-NSE pending the Panel’s decision.

In connection with the hearing, the Company intends to present a plan to regain compliance with the Bid Price Rule, including the 1-for-10 reverse stock split effected on October 27, 2026. There can be no assurance that the Panel will grant the Company’s request for continued listing or that the Company will be able to regain compliance with the Bid Price Rule within any additional period of time that may be granted by the Panel.

The Notice does not immediately suspend trading of the Company’s Class A common stock on The Nasdaq Capital Market, which continues to trade under the symbol “PARA”, subject to the scheduled suspension and hearing process described above.

Item 5.03
Amendments to Articles of Incorporation or Bylaws.

On October 30, 2026, the Company filed a Certificate of Amendment to the Company's Second Amended and Restated Certificate of Incorporation, as amended (the “Certificate of Amendment”), that implements the authorized share increase approved by the Company’s stockholders as described in Item 5.07 below (the “Authorized Share Increase”). The Certificate of Amendment amends the first paragraph of Article IV to authorize an aggregate of 850,000,000 shares (from 350,000,0000 shares), consisting of 750,000,000 shares of Class A common stock (from 250,000,000 shares), 25,000,000 shares of Class B common stock and 75,000,000 shares of preferred stock, each with a par value of $0.0001 per share. The Certificate of Amendment specifies an effective time of 12:01 a.m. Eastern Time on October 30, 2026. The foregoing description of the Certificate of Amendment and the Authorized Share Increase is qualified in its entirety by reference to the Certificate of Amendment, a copy of which is attached hereto as Exhibit 3.1 and incorporated herein by reference.

Submission of Matters to a Vote of Security Holders.

At the Meeting, the Company’s shareholders voted on four proposals, including one to approve an adjournment, if necessary.
