Rhea-AI Filing Summary

The Compensation Committee of PBF Energy Inc.’s board approved 2026 long-term incentive awards effective October 27, 2026, under the company’s 2025 Equity Incentive Plan, as amended. Chief Executive Officer and President Matthew C. Lucey received an award valued at $8,484,700; Senior Vice President and Chief Financial Officer Joseph Marino, Senior Vice President, Supply, Trading and Optimization T. Paul Davis, and Senior Vice President, General Counsel and Secretary Trecia Canty each received $2,500,000. Each award allocates 40% to restricted shares, 30% to performance share units payable in shares, and 30% to cash-settled performance units with a $1.00 target value per unit. Both performance-unit awards depend on TSR during January 1, 2027 through December 31, 2029, and can range from zero to 200% of the units granted; additional shares may be awarded at vesting for accrued dividend equivalents on the share units. Restricted stock vests in equal installments over three years; both performance awards vest December 31, 2029, subject to forfeiture or acceleration under the award agreements.

Filing Explained

The committee approved the awards effective October 27, 2026; they include restricted shares and performance share units payable in shares, so any additional shares issued would raise the share count and lower existing holders’ ownership percentages. Performance-share payouts remain tied to the 2027–2029 TSR period.

restricted shares financial
"40% to restricted shares of the Company’s Class A common stock"
Restricted shares are company stock that cannot be sold or transferred immediately because they are subject to legal or contractual limits, such as a required holding period or performance conditions. They matter to investors because these locked-up shares can affect a company’s available stock for trading, future dilution, and insider incentives—imagine a gift that can’t be cashed until certain conditions are met, which changes when and how much supply can suddenly enter the market.
performance share units financial
"30% to performance share units for the three-year performance period"
Performance share units are a type of company stock award given to employees that depend on the company meeting specific goals or targets. If these goals are achieved, the employee receives shares or the value of shares; if not, they may receive little or no compensation. This aligns employees’ interests with the company's success and encourages performance that benefits investors.
performance units financial
"30% to performance units with a target value of $1.00 per unit"
Performance units are company awards that become valuable only if specified business targets are met; they typically convert into shares or cash when performance goals are achieved. Think of them like a conditional bonus that turns into stock only if the company hits agreed milestones, so they align managers’ incentives with shareholders’ interests and can affect future share count, executive pay expense, and investor returns.
dividend equivalents financial
"computed value of dividend equivalents accrued during the Performance Period"
Payments tied to employee or contractor equity awards that mirror the cash dividends paid on the company’s stock; they give the holder the same economic benefit as owning the shares without transferring actual shares—often paid in cash or additional award units when the award becomes payable. Investors care because these payments affect a company’s compensation costs, cash flow and potential share dilution, and they signal how management is being rewarded and aligned with shareholders.
forfeiture or acceleration financial
"subject to forfeiture or acceleration under certain circumstances"
