On June 2, 2026, Kavita Mahtani, a Class I director of the Board of Directors (the “Board”) of Plug Power Inc. (the “Company”), and member of the Board’s Audit Committee and Strategy & Financing Committee, notified the Company of her decision to resign from the Board effective as of June 11, 2026. Ms. Mahtani has served on the Board since April 2022. Ms. Mahtani is stepping down to focus on the responsibilities associated with her recently announced executive position at Wells Fargo and her decision to resign from the Board is not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company wishes to express its gratitude to Ms. Mahtani for her contribution to the Board.
